Job Description:

TD Insurance Legal Department Law Clerk Role

  • Provide dedicated support to Legal Counsel and partner with other law clerks on issues/assignments to help ensure proper risk oversight, manage corporate/subsidiary governance, regulatory obligations and/or support in other insurance legal matters.
  • Review contracts, and interpret and draft complex legal documents under Legal Counsel direction.
  • Review and assess requests received from the TD Insurance Affinity Market Group and provide guidance as needed. Prepare and update affinity agreements, draft requested amendments and termination letters, confirm entity legal name of the contracting parties, and keep document database updated accordingly.
  • Assist Vendor Management Office with preparing and updating special category agreements such as with auto bodyshops, residential contractors, roofers, etc., draft extension letters and termination letters, confirm entity legal name of the contracting parties, and keep document database updated accordingly.
  • Interact with internal/external stakeholders to manage legal risk. Triage new engagement requests and engage with other relevant stakeholders to perform a thorough assessment of new matters.
  • Manage maintenance of files, databases and updates and implement and ensure compliance with standardized processes (e.g., file management protocol).
  • Create, manage and implement external counsel scoping documents and fee arrangements, and review and process invoices.
  • Produce reports, respond to various requests, and manage issues from business units on files.
  • Assist with regulatory enquiries and responses and send regulatory notifications as required. Assist with managing user accesses to various regulatory sites.
  • Assist with compiling documents and responses for audit requests.
  • Conduct legal searches and research including relating to various regulatory/licensing requirements and maintain the legal research/opinion data bank.
  • Research developments in relevant legislation and regulations, assist with Regulatory Compliance Management (RCM) tracking, monitoring updates to changes in applicable Laws, Rules and Regulations (LRRs) and regulatory initiatives.
  • Provide support with renewal of TD Insurance companies' licenses and other filings and assist with the updating and maintenance of TD Insurance corporate records.
  • Assist legal team with matter opening, document/matter management, addressing requests linked to the legal office, monitor mailbox for the purposes of re-directing incoming faxes to be handled by other lines of business, participate in matter custodian meetings and follow-up with the team for related matters and act as change agent for various Legal projects. Participate in other special projects as required.
  • Proficiency in both English and French required.
  • Position available in Montreal or Toronto.
