The Role?

To support the Legal and Corporate Governance function by managing company secretarial responsibilities and ensuring compliance with applicable laws, regulatory frameworks, and internal governance standards within an oil & gas/project-driven environment. The role is suited for a Junior Lawyer with exposure to the AMEC region, or similar EPC/energy sector organizations.

Main Responsibilities & Key Result Areas

  • Support all company secretarial activities, including maintaining statutory registers, licenses, and corporate records across multiple entities.
  • Assist in organizing and coordinating Board, Committee, and Shareholder meetings, including preparation of agendas, board packs, minutes, and resolutions.
  • Ensure compliance with corporate governance standards, internal policies, and regulatory requirements across jurisdictions.
  • Draft and review corporate documents such as board resolutions, powers of attorney, shareholder resolutions, and delegation of authority documents.
  • Liaise with regulatory authorities and government bodies on corporate compliance matters.
  • Monitor and track regulatory changes relevant to the oil & gas sector and advise internal stakeholders accordingly. Support internal and external audits by ensuring governance documentation is accurate and up to date.
  • Maintain effective document control systems for all legal and corporate records.
  • Provide governance and company secretarial support for projects and entities across Africa, the Middle East, and the Caspian region
  • Provide general legal support to business operations and project teams as required.

Requirements

  • Bachelor’s Degree in Law (LLB or equivalent).
  • Strong understanding of corporate governance and company secretarial practices.
  • Excellent legal drafting and documentation skills.
  • Knowledge of Indian corporate laws and exposure to international regulatory frameworks.
  • 1–3 years of experience in company secretarial and corporate governance.
  • Prior experience in oil & gas or EPC environments is highly preferred.
  • Demonstrated experience supporting projects or clients across Africa, the Middle East, and the Caspian regions is highly desirable.
  • Familiarity with multi-jurisdictional corporate structures and regulatory frameworks.
  • Exposure to international clients and project-based environments is an advantage.
