What You Will Do
- Draft, review, and negotiate patent licenses while managing patent acquisition and disposition matters.
- Structure and negotiate ownership and IP allocation in joint development and collaboration agreements.
- Collaborate with corporate/M&A, finance, and IP litigation teams to ensure IP is a key value driver in transactions.
- Conduct IP diligence in M&A and financing transactions, assessing ownership, encumbrances, and transferability.
- Lead sophisticated IP deal workstreams, coordinating next steps with internal teams and external counterparties.
- Analyze complex patent transaction terms and produce concise issue summaries with strategic recommendations.
Ideal Candidate Background
- Minimum of 3 years of experience in intellectual property transactions, specifically in patent acquisition and licensing.
- Proven track record of drafting and negotiating sophisticated IP deal documents.
- Experience managing transactional workstreams and collaborating with cross-functional teams.
- Strong analytical skills with the ability to summarize complex issues and recommend positions effectively.
Preferred
- Broader experience in technology transactions, including enterprise licensing and IP diligence in M&A.
- Familiarity with financial services industry dynamics and regulatory considerations.
- Demonstrated ability to drive projects in a fast-paced environment with minimal supervision.
Compensation and Benefits
