We are seeking a dedicated and knowledgeable In-House Attorney to serve as in-house legal advisor to the Prairie Band, LL (“LLC”) Board of Directors, and their designated executive level employees. The incumbent will ensure compliance with applicable laws to protect and enhance Tribal sovereignty to avoid or prevent expensive legal disputes and litigation and protect the interests of the LLC. · Advise and represent LLC in a wide array of federal contracting matters.
· Reviews contracts, grants, leases, and other legal documents and presents interpretations on legal content prior to signing and submission of documents in a timely manner.
· Perform due diligence and review proposed teaming/joint venture agreements.
· Ensure all governance documents comply with PBPN Title 25.
· Attends Tribal Council, General Council, Town Hall, and other meetings to make presentations, provide legal perspective, and legal advice, while representing PB LLC and its Board of Directors when required.
· Represent the LLC in PBPN Tribal Court and other venues regarding contract and employment disputes.
· Maintain comprehensive record of assignments and provide regular written updates to the LLC Board of Directors and designated executive level employees.
· Attend meetings requested by LLC project managers and review legal issues that arise in the day-to-day operations of LLC entities.
· Maintain effective working relationships with Tribal officials, employees, and the community.
· Promote Nation building values when conducting legal review of all contracting opportunities.
· Maintain active communication with the LLC Board of Directors and executive level employees to prevent duplication of effort and promote effective resolution of legal issues.
· Advise on matters involving internal affairs, employment law, and personnel policies.
· Drafts contract templates, regulations, policies, position papers, legal memoranda, and executive summaries.
· Monitor and stay informed on Tribal, state, and federal legislation, issues, and other legal developments that could affect the Tribe and its entities.
· Conduct legal research by preparing legal memoranda and necessary pleadings required in all aspects of state, federal, and tribal litigation matters on an as needed basis.
· Determine whether outside counsel should be retained for advice or representation as to any specific task or specialized area of the law and the justification therefore and make a recommendation thereon to the Board of Directors and Tribal Council.
· Provide necessary training to staff about PBPN law and order code, specifically Title 25, and other relevant topics.
· Performs other duties as assigned.
Requirements
· JD from an American Bar Association accredited law school.
· Five (5) years of work experience in Federal Indian law and federal contracting.
· Five (5) years of litigation experience.
· Member in good standing of their State Bar.
· Must demonstrate excellent legal research, writing and oral communication skills.
· Ability to organize and maintain clear, concise, and accurate records, and follow office procedures.
· Experience in cross cultural working environments and cultural competency preferably with Federally recognized Indian tribes.
· Must have the ability to work closely and develop relationships with partner agencies in and outside of the organization.
· Organize and establish priorities, manage multiple projects effectively, and meet deadlines.
