PT FWD Insurance Indonesia (“FWD Insurance”), a joint-venture insurance company and a part of FWD Group, previously known as PT Commonwealth Life, has successfully merged with PT FWD Life Indonesia (“FWD Life”) as of 1 December 2020 and will be known as FWD Insurance.

The merger of FWD Life and FWD Insurance has led to a more comprehensive range of products, including unit-linked insurance, individual & group term life insurance, individual & group personal accident insurance, and group medical insurance through technology driven-distributions such as agency, bancassurance, e-commerce, and corporate.

FWD Insurance is registered and supervised under Otoritas Jasa Keuangan (“OJK”).

FWD Insurance is a member of Indonesia Financial Services Alternative Dispute Resolution Center.

Providing solution-oriented advice and legal advisory services to ensure the effectiveness and efficiency in identifying any legal and contractual risks, protecting the company interest against legal risks in order to minimize the risk and to assure the compliance of the company with the internal company regulation including the governance and directs the defence the organization against suits or claims.

Drives change processes and organizational awareness on legal; builds capabilities to support business growth according to prevailing regulation.

REGULATORY UPDATE

• Direct and monitor company’s legal requirements from government/ regulatory (i.e. regulations, documents, license, permits etc); ensure proper communication and implementation and manage relation with government and regulatory body to support business goals

Legal Practices and Advisory

• Providing legal advice to address any legal issues and legal risk for management and all division in the company and support other function for all law and related matters.
• Review and provide legal advisory on legal documentation to ensure the compliance with statutory obligations.
• Serves as corporate secretary ensuring appropriate board minutes, resolutions and related corporate action are undertaken in accordance with the applicable regulation.
• Provide concise effective and efficient reporting to management, committee and board on any legal risk.
• Responsible for all contract review, drafting, negotiations and execution including ensuring all documents issued by the company has addressed any potential legal risk.
• Responsible for administrating and save the company’s documents including but not limited to shareholders’ list, corporate special list and minutes of meeting of BOD, BOC and GMS.
• Oversight all litigation matters of the company and responds to legal notices, complaints, subpoenas, etc.
• Supervising all legal aspects of the organization and the preparation of reports and statements of a legal nature.
• Legal advisor for any legal corporate action such as IPO and etc.
• Review, provide and interpret the law which the context of the organization and provide advice on matters of the law and contractual obligations.

PEOPLE MANAGEMENT

• Monitors subordinates’ performance, leads and coaches to build capabilities and provide motivational support
• Drives synergies between teams

Key Qualifications

• Bachelor or Master Degree in Law background with min. 10 years’ experience in various area of Legal
• Having a strong understanding and knowledge in insurance, banking, and finance areas.
• Having advocate license from PERADI (if any).
• Familiar in insurance regulations and business processes
• Computer proficiency
• English proficiency
• Strong interpersonal Skill
