Second Foundation is a global energy trading company with around 450 employees across locations in Prague HQ (CZ), Zug (CH), Berlin (DE), Charlotte (USA), and Tokyo (JP). We specialize in power market trading and in the integration and optimization of renewable energy and battery storage systems. In parallel, we are actively expanding our own asset base, with a primary focus on battery storage.
We are seeking a senior legal and financing professional to take ownership of financing and transactional execution across the group, spanning corporate and project financing, M&A, and broader capital market activities. This is a global role at the intersection of legal, finance, and deal execution, requiring someone who can shape transactions from an early stage and drive complex processes end-to-end while managing multiple internal and external stakeholders.
What you would work on?
- Leading the full execution lifecycle of corporate, project financing, and M&A transactions, from early-stage structuring through to financial close.
- Structuring, negotiating, and coordinating financing and transaction documentation, including loan agreements, security packages, derivatives, bonds, and M&A documents.
- Coordinating due diligence, documentation, and information flows across legal, finance, asset management, external advisors, banks, and counterparties.
- Driving transaction timelines and holding stakeholders accountable for the quality and timeliness of deliverables.
- Providing legal and regulatory oversight and supporting capital raisings, bond issuances, structured debt, and other transactional workstreams.
What makes you a great candidate?
- 10+ years of relevant experience in finance, M&A, capital markets, or banking law within private practice, an investment bank, or an in-house legal function.
- A legal qualification, or equivalent, with strong hands-on experience in complex financing and transaction documentation.
- Experience across debt, equity, derivatives, and capital market instruments, including LMA, ISDA, ISLA, or bond documentation.
- Strong project management skills with the ability to manage multiple workstreams, timelines, and contributors in a multi-jurisdictional environment.
- Excellent analytical and communication skills-you can absorb large volumes of information and deliver clear, actionable outputs.
- Experience with regulatory and licensing matters in financial services; familiarity with MiFID II, EMIR, or equivalent frameworks would be a plus.
- Fluent English; Czech and/or German would be a significant advantage.
- A high degree of independence, an ownership mentality, and comfort operating in a fast-paced, international environment.
