The Opportunity
We are seeking a highly organised and proactive Governance Officer to join our Legal Team on a full-time basis in Rhodes with hybrid work options (3 days in the office, 2 days from home).
Reporting directly to the Governance Manager, you will play a vital role in ensuring that Frasers Property Australia meets its corporate legal and governance obligations across the Australian subsidiary group. You will be instrumental in managing the corporate secretariat functions for all wholly and partly owned subsidiary companies, trusts, and joint ventures.
What you’ll do
Corporate Filings & Records: Manage corporate records and filings (including ASIC and GEMS) for all entities. You will assist with the creation and vesting of trusts, winding up and incorporating entities, and handle annual filings for ASIC Deeds of Cross Guarantee.
Committee Administration: Manage quarterly Committee meetings, coordinate calendars, and collate meeting papers using the Nasdaq BoardVantage portal. You will also prepare shell meeting minutes, draft written resolutions, and finalise minutes for the FPA Group Management and Finance Committees.
Compliance & Best Practice: Assist in developing best-practice governance policies, procedures, and template creations, while keeping up to date on legislative changes associated with corporate entity management.
Operational Legal Support: Manage insurance compliance requests, licensing and business name renewals, and the bank guarantee process (including filing and coordinating with banks).
Administrative Coordination: Provide general administrative, mailbox, and calendar support to the Governance Manager and wider Legal Team. You will also manage DocuSign requests, raise purchase orders, coordinate vendor creation and invoice payments.
What you’ll bring
Qualifications: A degree qualification in Law, Economics, and/or Accounting (or equivalent).
Experience: 2–3 years of experience in a board administrative support role or similar, with demonstrated experience handling ASIC filings within a corporate environment.
Technical Skills: Advanced software proficiency across Microsoft Outlook, Word, and PowerPoint, with intermediate Excel skills. Experience using DocuSign, BoardVantage, Diligent, and SAP is highly regarded.
