of Job Function:

The APAC Associate General Counsel position will be the attorney for Verint’s Asia-Pacific (APAC) business operations and will specifically participate in the management and support the company’s business in the APAC region.

The position will be responsible for managing all contractual matters in region, managing general corporate legal matters in region, including new market entry activities, provide guidance on legal and regulatory compliance including with respect to privacy, corporate governance and secretarial activities, and other local issues systemic to a diverse jurisdictional region. The position will also focus on supporting activities relating to business process improvement both within the Legal organization and between various departments.

In addition to the APAC general counsel responsibilities, the position will manage a team providing legal shared services to the rest of the Verint global business organization. Those individuals will functionally report to other managers located in other regions within the Verint Legal Department.

This position requires strong interpersonal and persuasive skills, creative abilities for developing practical options and solutions to complex problems, business and financial acumen, as well as superior analytical and writing abilities. Essential are superior communication and presentation skills, ability to manage laterally and in a matrixed business model, and collaborate with colleagues in multiple timezones and geographies, functions and cultural orientations. Knowledge of and experience negotiating technology arrangements, including with respect to SaaS, and implementing privacy compliance across the APAC region is highly desirable.

The individual must be execution oriented, possess an ambition and passion for excellence.

Principal Duties and Essential Responsibilities:

  • Provide general counsel leadership for Verint’s business in the APAC region, both for legal and compliance management
  • Manage the legal shared services team based in the same office.
  • Direct report to Chief Legal Officer based in US (Atlanta)
  • Member of the APAC Management Team
  • Manage all regulatory and corporate governance aspects of Verint’s APAC subsidiaries, including acting as secretary to the respective Boards of Directors (as applicable)
  • Manage legal issues (either directly or as participant) in APAC applicable to the Verint business (e.g. customer disputes, product issues)
  • Manage and negotiate (internally and externally) outcomes which align protection of Verint corporate governance objectives and the achievement local business objectives
  • Contract negotiations:
    • Assume responsibility for negotiating revenue contracts (primarily SaaS) within APAC, and, where applicable, for specific global customers
    • Lead legal negotiations on all contracts, including managing business and legal risk profiles of all regional contracts
    • Maintain Verint protections and limitations with respect to revenue, intellectual property, privacy compliance and liability
    • Coordinate issue analysis, escalation and resolution with the APAC business team
    • Maintain working knowledge of current revenue recognition rules and principles; requires consistent coordination with the Business Finance teams
  • Manage legal issues pertaining to other support functions (including HR, Business Finance and Operations)
  • Manage outside counsel for all APAC region legal activities requiring use of external legal resources
  • Manage APAC region legal budget, and satisfaction of budget objectives
  • Manage regional roll-out of global compliance initiatives and conduct periodic region-wide training
  • Manage integration activities for acquired companies applicable to the APAC business
    • Lead participant managing integration efforts for Legal in the APAC region
    • Coordinate with other responsible parties within Legal to help ensure all required tasks are covered, properly planned, and executed to completion
    • Handle all activities relating to integration of contracts and contract processes for the APAC region
  • Support other business process and management activities within the business

Minimum Requirements:

  • LL.B. or equivalent degree from an accredited law school in India
  • 10+ years practice experience, with part in large firm or medium technology law firm, and part in-house counsel at relatively similar business environment to Verint
  • Significant experience working in a complex business environment with complex personalities, with ability to form, congeal and maintain strategic alliances and working relationships
  • Significant experience working in a fast paced deadline driven sales environment, with proven experience building efficiencies to build a proactive approach in a reactive environment
  • participating in / supporting business activities and objectives, and providing related legal analysis and practical advice
  • Significant contract negotiation experience in multiple jurisdictions within the APAC region, especially with respect to technology/cloud based agreements, sale and distribution agreements, and a variety of other business models. Deep understanding of intellectual property concepts
  • Understanding of privacy legislation and compliance requirements in some or all of the APAC region
  • Dispute management experience, and success resolving disputes (both litigation and pre-litigation matters) Prior experience implementing productivity tools for legal organizations
