As General Counsel & Compliance Officer, you will be responsible for leading and managing the legal and compliance department for the entire organization. You will provide legal advice and counsel for various areas of the business, including compliance, litigation, employment, and other corporate legal needs. This position reports to the Chief Executive Officer and works closely with executive leadership and outside counsel as needed.
- Lead and manage the legal and compliance department for the entire organization.
- Review, negotiate, draft, and provide legal advice on a variety of contracts, including professional services agreements with hospitals, employment agreements, separation agreements, real estate leases, purchasing agreements, vendor agreements, license agreements, and business associate agreements.
- Manage legal claims and litigation in a manner that minimizes potential company liability and outside counsel expenses.
- Perform legal research and provide advice in the areas of health law, corporate law, contract law, and employment law.
- Draft and review legal documents including policies and procedures, letters and reports as requested by company partners.
- Facilitate, update and manage organization’s risk management program to ensure compliance with statutory and regulatory requirements.
- Provide updates to leadership on latest risk management and compliance issues that will impact organization.
- In collaboration with the CMO, review and investigate potential litigation and pre-litigation claims and support providers through claim cycle.
- Update programs and internal policies to keep current with new rules and regulations.
- Assist in researching and responding to questions regarding high-risk issues, corporate compliance, HIPAA, OSHA, OIG, AHCA, CMS and biomedical compliance.
- Develop and recommend improvements for standard contractual documents and templates.
- Administration of contract management system and policy development.
- Support corporate transactions, including acquisitions, mergers, and joint ventures, by providing guidance on deal structure and process, due diligence, post-closing integration activities, drafting and negotiating transactional documents, and preparing filings to governmental agencies as necessary.
- Attend company and committee meetings and advise on legal issues as appropriate.
- Demonstrate and embody the Women’s Care mission and core values.
- Compliance with all HIPAA rules, regulations, and guidelines.
- Other duties as assigned.
Qualifications
- Juris Doctorate (JD) from an ABA accredited law school.
- Active bar membership in the State of Florida.
- Minimum of 10 years of progressive legal and compliance experience in a corporate or private law firm setting.
- Deep knowledge of healthcare regulatory requirements, including federal and state laws, research compliance, privacy, billing integrity, employment law, and contract law.
- Proven ability to design and lead enterprise compliance programs that are risk-based, technology-enabled, and aligned with organizational strategy.
- Experience leading high profile, confidential, complex compliance investigations.
- Strong advisory and influencing skills; able to partner with executives and business leaders to integrate compliance into strategic decisions.
- Advanced communication and relationship-building skills, with the ability to translate complex regulatory concepts into actionable guidance.
- Expertise in executive-level reporting and communication, including but not limited to the Board of Directors, relevant Board Committees (e.g., Risk/Audit/Compliance Committee), and executive leadership.
- Must be organized and able to manage multiple projects simultaneously and to prioritize responsibilities and duties.
- Strong verbal and written communication skills required.
- Must be dependable, reliable, and punctual.
