Position Summary: The General Counsel will serve as Equify Financial's lead legal advisor and a trusted business partner to the CEO and executive leadership team. This position is responsible for providing legal counsel across Equify's commercial finance platform, including secured lending, equipment finance, asset-based lending, workouts, restructurings, portfolio risk management, strategic transactions, and regulatory compliance.

The ideal candidate will bring meaningful experience in commercial finance, secured lending, private credit, banking, asset-based lending, equipment finance, creditor rights, bankruptcy, restructuring, or related transactional and finance-focused legal disciplines. Direct equipment finance experience is preferred but not required.

This role requires a practical, business-oriented attorney who can balance legal risk with commercial objectives and support growth while maintaining a strong control environment. The General Counsel will partner closely with leadership to structure transactions, manage legal risk, resolve complex issues, and provide clear, actionable guidance that enables informed business decisions.

The General Counsel will oversee legal matters across Equify and its affiliated businesses as needed. While the role will serve as the Company's primary legal resource, specialized matters involving employment law, tax, securities, insurance regulation, intellectual property, SaaS, and other technical disciplines may be supported through outside counsel. The General Counsel will manage these relationships and ensure legal resources are deployed effectively and efficiently.

Key Roles / Responsibilities:

Commercial Finance & Transactional Counsel

• Provide legal guidance regarding secured lending, equipment finance, asset-based lending, private credit, and specialty finance transactions.
• Draft, negotiate, and review credit agreements, loan documents, guarantees, security agreements, intercreditor agreements, subordination agreements, servicing agreements, warehouse facilities, and related commercial finance documentation.
• Advise executive leadership and credit teams on legal risks associated with lending, collateral enforcement, portfolio management, and transaction structuring.
• Support capital markets initiatives, securitizations, strategic partnerships, acquisitions, and financing arrangements as needed.

Legal Risk Management

• Lead legal strategy relating to workouts, restructurings, bankruptcy proceedings, litigation management, collections, repossessions, and creditor remedies.
• Assess and mitigate legal, regulatory, and operational risks across Equify's commercial finance platform.
• Develop practical solutions that balance legal protection with business objectives.
• Establish proactive frameworks to identify and mitigate risks before they impact portfolio performance or growth initiatives.

Corporate Governance & Leadership

• Serve as the primary legal advisor to the CEO, executive leadership team, and Board of Directors.
• Maintain corporate governance structures, resolutions, entity records, policies, and board documentation.
• Provide strategic counsel on significant business initiatives, investments, partnerships, and growth opportunities.
• Demonstrate the confidence and integrity to challenge executive decisions when legal, regulatory, or business risks warrant additional discussion.

Outside Counsel Management

• Manage outside counsel relationships and legal expenditures.
• Determine when specialized expertise is required and oversee legal matters involving employment law, tax, securities, insurance regulation, litigation specialties, SaaS transactions, and other technical areas.
• Ensure specialized legal matters are handled efficiently while maintaining appropriate risk controls and cost discipline

Required Education, Experience, and Qualifications:

• Juris Doctor (J.D.) from an accredited law school.
• Licensed and in good standing with at least one U.S. state bar.
• Approximately 5-10 years of legal experience, with significant exposure to secured commercial lending, equipment finance, specialty finance, private credit, banking, asset-based lending, workouts, restructuring, creditor rights, or related areas.
• Demonstrated command of secured finance concepts and Article 9 of the Uniform Commercial Code.
• Experience advising business leaders on complex legal and commercial matters.
• Strong drafting, negotiation, communication, and analytical skills.
• Ability to balance legal risks with commercial realities and business objectives.
• Proven sound judgment, executive presence, and ability to build credibility with senior leadership, lenders, investors, borrowers, and outside partners.
