• Lucid Consulting brings depth of expertise in the research, development and commercialisation of solutions across therapeutic areas and modalities by streamlining product development, building operational capabilities, innovating, and supporting execution to create value for patients, clients and shareholders.
• US MedComms works with both US and Global brand teams to create powerful medical communications solutions for early lifecycle assets.
• US Marketing works with clients across the Rx, Medical Device, OTC and Consumer Device categories to deliver compelling communications and promotional solutions to Healthcare Professionals for in-market assets.

ABOUT THE ROLE

To support the continued growth of Lucid Group, we are looking for a commercially minded General Counsel to provide practical, solutions-focused legal advice across our UK and US businesses.

This is a hands-on role for a lawyer who combines strong legal judgement with curiosity, commercial awareness and a problem-solving mindset. You will work closely with colleagues across the Group to understand the business challenge or objective they are trying to address, identify the relevant legal and regulatory considerations and help develop practical solutions that enable the business to move forward while appropriately managing risk.

You will provide day-to-day legal support across commercial contracting, corporate matters, data privacy, compliance and wider business activities. Part of the role will involve reviewing, drafting and negotiating client, supplier and other commercial agreements, alongside helping the business navigate contractual and legal risk in a pragmatic and commercially appropriate way.

We are looking for someone who enjoys getting underneath a problem and exploring different options, constructively challenging established approaches and helping colleagues find an appropriate route forward where the initial answer may not be straightforward.

KEY RESPONSIBILITIES

Responsibilities in this role include, but are not limited to:

Commercial Legal Support

• Draft, review and negotiate a broad range of commercial agreements, including client Master Services Agreements (MSAs), Statements of Work (SOWs), supplier and contractor agreements, confidentiality agreements and other commercial arrangements.
• Provide practical, commercially focused legal advice to stakeholders across Lucid's UK and US businesses.
• Advise on contractual matters including liability, indemnities, intellectual property, confidentiality, data protection, insurance and termination provisions.
• Support stakeholders through contract negotiations, helping them understand the implications of key provisions and make informed decisions about commercial and legal risk.
• Support the continued development of contracting processes, templates, playbooks and guidance to improve consistency, efficiency and appropriate risk management across the business.

Business Partnering & Problem Solving

• Partner with teams to understand the underlying commercial objective or business challenge, exploring and developing pragmatic solutions that enable business objectives while appropriately managing legal, regulatory, commercial and reputational risk.
• Where a proposed approach presents unacceptable or disproportionate risk, work with stakeholders to identify alternative routes forward.
• Apply sound judgement to new, complex or ambiguous situations where there may not be an established precedent, policy or process.
• Provide clear, accessible advice that translates legal complexity into practical choices and recommendations for non-legal stakeholders.
• Constructively challenge thinking where appropriate while maintaining an enabling and collaborative approach.
• Identify recurring legal or contractual challenges and proactively develop tools, guidance, processes or solutions that address the underlying issue.
• Look for opportunities to simplify legal processes, remove unnecessary friction and continuously improve how Legal supports the wider business.

International Legal Support

• Provide legal support in relation to Lucid's group-wide operations, working effectively with stakeholders across both the UK and US.
• Maintain a good working knowledge of the UK & US legal and regulatory environment relevant to Lucid's activities and identify potential implications for the business.
• Recognise matters that require jurisdiction-specific expertise and coordinate with specialist external legal counsel where appropriate.
• Support the business in navigating cross-border legal matters and understand the interaction between UK, US and other relevant jurisdictional requirements.
• Monitor relevant legal and regulatory developments across Lucid's key markets and help the business understand and respond to emerging risks or requirements.

Data Privacy, Compliance & Risk

• Advise on domestic and cross-border data privacy matters and support the business in meeting applicable UK, EU and US privacy requirements.
• Support the development, review and implementation of appropriate legal and compliance policies, processes and guidance.
• Work with relevant stakeholders to identify legal and regulatory risks and develop proportionate approaches to managing them.
• Support legal and compliance training and awareness where appropriate, helping colleagues understand their responsibilities and make informed decisions.
• Contribute to the implementation of legislative and regulatory changes affecting the Group.

Corporate & Wider Business Support

• Act as a key legal partner to the Board, People/HR team and wider business, providing proactive, practical advice on UK and US employment law, corporate governance and wider business matters, working with specialist advisers where appropriate. Support strategic projects and business initiatives where legal input is required.
• Support corporate transactions, investments, acquisitions or integration activity where appropriate.
• Work effectively with external legal advisers, ensuring matters are appropriately scoped and advice is practical and commercially relevant.
• Proactively identify emerging legal issues, risks and opportunities that may affect Lucid and bring these to the attention of appropriate stakeholders.

Above all, you will see Legal as an enabler of responsible business decisions. You will combine strong legal judgement with an understanding of what the business is trying to achieve and work with colleagues to find solutions that appropriately balance opportunity and risk.

QUALIFICATIONS & EXPERIENCE

The successful individual is likely to have:

• Qualification as a lawyer in England & Wales, the US or another relevant jurisdiction.
• Approximately 8-10 years' post-qualification experience, or equivalent relevant experience, gained within private practice and/or an in-house legal environment.
• Strong experience drafting, reviewing and negotiating commercial contracts.
• Good knowledge of corporate, employment and commercial law.
• Demonstrable experience advising on UK, US and cross border legal matters, with a strong working knowledge of the legal and regulatory environments in both jurisdictions and the ability to identify when specialist local advice is required.
• Knowledge of data privacy and experience supporting matters involving data protection and privacy requirements.
• Experience working within, or supporting, an international organisation and stakeholders operating across multiple jurisdictions.
• Experience within healthcare, pharmaceuticals, medical communications or another highly regulated industry would be advantageous but is not essential.
• Experience supporting M&A, corporate transactions and/or a private-equity-backed organisation would also be advantageous.
