Job Description

Our client, a prestigious US law firm, is experiencing *explosive growth* in their IPO deal volume. They are currently seeking a Foreign Legal Consultant to join their dynamic capital markets team. The successful candidate will be responsible for reviewing listing application documents for U.S. and Hong Kong IPOs, and assisting in the preparation of responses to inquiries from securities regulators This role offers a unique opportunity to work on high-profile transactions and gain exposure to cross-border legal and regulatory frameworks. 

Responsibilities:

  • Prepare and review listing application documents for U.S. and Hong Kong IPOs, and assist in responding to inquiries from securities regulators.
  • Support legal due diligence and verification processes.
  • Conduct legal research and provide analytical insights.
  • Coordinate with internal teams and external clients.
  • Draft and review documents related to corporate reorganization, transaction closings, and other regulatory submissions; prepare due diligence and verification notes.
  • Manage general compliance tasks, including drafting announcements, circulars, and meeting minutes; reviewing annual, interim, and quarterly reports; and preparing other relevant regulatory filings.

Requirements:

  • Prior experience supporting fee-earners in capital markets transactions.
  • LLM or LLB from a reputable law school in China, Hong Kong, or the U.S., with strong academic credentials preferred.
  • Proficiency in Mandarin (reading, writing, and speaking) with excellent written English are essential. Bonus points for native Mandarin speakers.
