The division also performs an important internal role for the Group by providing equities, markets, lending, and transaction banking execution capabilities to other CBA business units that allows them to capture opportunities with business customers.

CBA is recruiting for the London-based role of Executive Manager, Global Markets Documentation (GMD) within IB&M Legal. In this role, you will support the GMD team, which is responsible for the negotiation of master agreements and associated documents. Though the role is London-based, with CBA London branch being your focus, you will also support CBA’s Sydney, Amsterdam and New York branches from time to time.

You will provide advice and assistance to GMD, reporting directly into the Head of Global Markets Documentation in Sydney and indirectly to Head of Legal, UK in London.

Do work that matters:

The successful candidate will be responsible for drafting, negotiating, and executing International Swaps and Derivatives Association (ISDA) Master Agreements and related documentation to support the bank’s global markets business. This role requires a deep understanding of derivatives, relevant regulatory frameworks, and market practices, along with strong negotiation and communication skills.

Your main responsibilities will include:

  • Work collaboratively with GMD colleagues located in New York, London, Sydney, Brisbane and Christchurch;
  • Draft, review, and negotiate ISDA Master Agreements, Credit Support Annexes (CSAs) and related trading agreements with institutional counterparties;
  • Negotiate ancillary agreements, including guarantees, and electronic trading documentation;
  • Review guarantees (or other forms of credit support documents), partnership agreements and loan agreements (and other ancillary agreements) provided in connection with derivative and related transactions;
  • Incorporate appropriate provisions for Know Your Customer, risk mitigation, and other legal and regulatory considerations;
  • Assist with the allocation of GMD matter workflow during London hours and providing guidance and support to colleagues in the New York and London offices;
  • Take an active role in assisting business owners on day-to-day questions and tasks;
  • Advise the business on complex issues related to relevant documentation;
  • Assist in implementing industry best practices and contribute to process improvements;
  • Provide accurate, timely, commercial advice through effective communication.

We’re interested in hearing from Qualified Lawyers who have:

  • A minimum of 7 years’ global markets documentation experience.
  • The ability to work independently and as part of a team in a high-volume environment.
  • Excellent knowledge of the ISDA Master Agreement, CSAs in the context of interest rate swaps, FX, credit derivatives, and equity derivatives with different types of counterparties (e.g., hedge funds, sponsors, investment funds, insurance companies, trustees of trusts, and partnerships), with knowledge of other types of master agreements used in the global markets (e.g., GMRAs, GMSLAs, give-up agreements, CDEAs), and experience drafting and reviewing confirmations, being advantages.
  • Excellent knowledge of loans, guarantees and securities (the role does not involve documenting loans, but loans and derivatives often interrelate), including facility-linked hedging arrangements.
  • Strong knowledge of Variation Margin and Initial Margin, closeout netting, and other relevant laws, regulations and current issues applying to derivatives.
  • Excellent written and verbal communication skills.
  • Excellent technical skills including the ability to quickly grasp, negotiate and resolve issues in the negotiation of global markets documentation.
  • Coordinate with legal, risk, front office, collateral, tax and other internal clients to resolve issues and obtain relevant approvals.
  • Excellent record keeping and database management skills.
  • A can-do and pragmatic attitude with a genuine interest in sharing your knowledge and collaborating with GMD colleagues and internal stakeholders alike.
