What You Will Do
- Advise emerging growth companies on entity formation, corporate governance, and organizational structuring.
- Represent startups and founders in seed, Series A, and later-stage venture capital financings.
- Counsel venture capital and private equity clients on fund formation and portfolio investments.
- Draft, review, and negotiate critical transaction documents such as term sheets and stock purchase agreements.
- Support mergers and acquisitions involving emerging companies, ensuring compliance and strategic alignment.
- Advise clients on equity compensation plans and employee benefits matters.
- Collaborate with senior attorneys to deliver integrated legal solutions and manage client relationships.
Ideal Candidate Background
- 4 to 8 years of relevant legal experience, ideally at a top-tier law firm with a focus on emerging companies and venture capital.
- Demonstrated experience advising startups and venture capital investors on financings and corporate transactions.
- Strong drafting and negotiation skills across a broad range of venture and corporate documents.
- Deep understanding of the venture capital ecosystem, including deal structures and investor dynamics.
- Excellent communication skills, capable of translating complex legal concepts for clients.
Preferred
- Experience leading transactions and interfacing directly with founders, CEOs, and boards.
- Strong academic pedigree and the ability to operate autonomously in a fast-paced environment.
Compensation and Benefits
