Job Description

Golden Pass LNG, a joint venture between QatarEnergy and ExxonMobil, has the mission to become the premier LNG export company in North America by bringing clean energy from Texas to power the world. We seek to do this in a way that values safety, integrity, our people, community, and the environment. To achieve these goals, we are mobilizing a diverse team of experienced and talented professionals. Headquartered in Downtown Houston, Golden Pass LNG commenced operation of Train 1 in 2026 and continues to progress construction and commissioning on Trains 2 and 3. Once fully operational, Golden Pass LNG will have the capacity to produce over 18 million metric tons of LNG per year.


Purpose

The Assistant General Counsel & Director of Trading Compliance is a senior legal and compliance leader responsible for supporting the company’s commercial, operational, and corporate activities, with a particular focus on trading compliance and enterprise-wide dispute management. This role provides broad-based legal support across the business, including commercial transactions, corporate matters, and regulatory compliance, while leading the trading compliance program. The position also oversees the company’s litigation and dispute portfolio across all business areas, ensuring matters are managed strategically, efficiently, and in alignment with business objectives.

Esssential Duties / Functions

  1. Manage litigation and disputes across all business areas, including commercial, operational, regulatory, employment, and other matters.
  2. Advise senior leadership and internal stakeholders on dispute strategy, risk exposure, and resolution options, including negotiation, mediation, arbitration, and litigation.
  3. Manage all phases of litigation and disputes, from early assessment, document preservation, and insurance coverage issues, through resolution, ensuring alignment with business objectives and risk tolerance.
  4. Develop and implement consistent processes for litigation risk assessment, reporting, and reserves, in coordination with Finance and executive leadership and conduct internal trainings related to these areas.
  5. Support and manage responses to regulatory inquiries, investigations, and enforcement actions.
  6. Identify trends and systemic risks arising from disputes and proactively mitigate future exposure through improved processes, controls, and contract terms.
  7. Promote efficient and cost-effective dispute resolution strategies, including the use of alternative dispute resolution, where appropriate.
  8. Implement and continuously enhance the company’s trading compliance program, with particular focus on natural gas and related commodity markets
  9. Ensure compliance with applicable regulatory regimes, including:
    • FERC (market behavior rules, reporting, and enforcement)
    • CFTC (derivatives and anti-manipulation rules)
    • DOE export authorizations (as applicable
    • OFAC sanctions and export control requirements
  10. Serve as a key advisor to the trading and commercial teams on regulatory developments and compliance expectations.
  11. Provide broad-based legal support across the company’s business functions, including commercial, operational, and corporate matters.
  12. Draft, review, and negotiate a wide range of agreements, including commercial contracts, services agreements, confidentiality agreements, settlement agreements, and other transactional documents, as well as correspondence related to same.
  13. Support natural gas and LNG-related activities, including commercial arrangements, logistics, and coordination with trading, midstream, and operations teams.
  14. Advise internal stakeholders on contract interpretation, risk allocation, and day-to-day legal issues affecting business operations.
  15. Additional duties as may be assigned.

Minimum Requirements

Minimum education required of the position:

  • Juris Doctor (JD) from an accredited law school

Minimum experience required of the position:

  • 12–15+ years of legal experience, preferably in energy, natural gas, LNG, or commodities industries
  • Experience supporting commercial transactions and corporate legal matters
  • Demonstrated experience in litigation [JD1.1] and managing litigation, disputes, and regulatory matters across multiple subject areas
  • Familiarity with trading compliance frameworks and regulatory regimes (FERC, CFTC, etc.) preferred
  • In-house or top-tier law firm experience strongly preferred

Minimum knowledge, skills and abilities required of the position:

  • Strong understanding of commercial contracting and risk allocation
  • Familiarity with U.S. energy or natural gas markets preferred
  • Experience managing complex litigation and disputes, including oversight of outside counsel
  • Excellent drafting, negotiation, communication, conflict resolution, and analytical skills
  • Ability to translate legal and regulatory requirements into practical business solutions
