We're looking for a seasoned legal professional with broad transactional experience who delivers practical, business-minded legal advice. You'll partner with senior investment professionals, manage complex transactions and help drive successful outcomes in an evolving capital markets environment.
Reporting to the Senior Director & Associate General Counsel, Capital Markets & Credit Investments, the Director & Senior Counsel, Capital Markets & Credit Investments, plays a key role in providing legal services and advice on a variety of Capital Markets & Credit Investments (“CMCI”) transactions, ranging from private funds and private credit investments, to equities, fixed income, and derivatives activities. The Director & Senior Counsel works in a team environment and closely with other counsel, including external lawyers, as well as business personnel and paralegals. In addition, the Director & Senior Counsel embodies Legal Affairs’ business partner model, acting as a proactive, embedded partner to the CMCI team to advance BCI’s strategy while safeguarding its interests.
The Legal Affairs Department provides comprehensive legal, compliance, and governance support across the organization. The department works to provide tailored risk-based advice, ensuring compliance with regulations and upholding high ethical standards. The team gives proactive, practical, and solution-oriented guidance to help their business partners make informed decisions, fostering innovation and driving success. By focusing on strategic objectives, the Legal Affairs Department supports BCI's ambitions and maintains its reputation as trusted advisors who can navigate the complex legal and regulatory landscape.
A Law degree (LL.B. or J.D.)
Called or qualified to be called to the bar in British Columbia
7+ years’ experience in a transactional practice at a leading law firm, investment manager or financial institution, leading and project managing transactional matters
Expertise in private funds, mergers and acquisitions, capital markets, private credit or other investment transactions, including hybrid capital and derivatives
Experience coordinating transactions across teams, including with tax, regulatory, compliance, finance and operations teams
Experience working with legal technology and AI
Experience with statutory entities, pension plans and institutional investors
Familiarity with global regulatory processes (e.g., CFIUS, HSR and other merger control, antitrust and foreign direct investment filings)
Proven ability to manage complex transactions and provide practical, business-oriented legal advice
Excellent interpersonal and communication skills, with the ability to effectively collaborate with internal and external stakeholders at all levels
Strong organizational skills, with the ability to manage multiple priorities and work under tight deadlines
A commitment to the highest standards of professionalism, ethics, and integrity
Works closely with deal teams within CMCI providing time sensitive legal advice and support for complex transactional, investment and operational activities
Serves as a proactive business partner to CMCI deal teams, anticipating legal needs and shaping how the business approaches opportunities and risk
Assists the Chief Legal Officer and other members of Legal Affairs on an as-needed basis in providing legal advice and support to investment departments and operational teams
Engages, supervises and coordinates external legal, regulatory and diligence advisors
Drafts, reviews, revises and negotiates investment related agreements
Facilitates regulatory processes to close investment transactions
Provides guidance and advice on contractual, legal, regulatory and governance requirements
Identifies legal and regulatory risks, working with others to appropriately manage or mitigate those risks within BCI’s business environment and commercial strategies
Builds relationships and communicates effectively with internal and external stakeholders
Appropriately utilizes legal technology and AI in day-to-day tasks, and contributes to process improvements and efficiency
Anticipates and foresees legal and business risks specific to own area of expertise and business risk tolerance
Evaluates issues accurately and escalates appropriately
Makes decisions, forms strategy and executes independently with minimal supervision
Resolves complex issues within areas of expertise and experience
Approaches work with an understanding of how it relates to long-term objectives and strategies of the legal department and BCI’s long term investment horizon
This role will be based in our office in downtown Victoria, BC or Vancouver, BC
The annualized base salary range for this role is CAD $175,000 to $225,000.
BCI offers a competitive total rewards package, including a performance-based incentive plan, comprehensive health & dental benefits, a defined benefit pension plan, and paid time off. We pay our people competitively in the markets in which we operate and with consideration for internal equity and job structure. The base salary will consider factors such as the individual's skill set, experience, and internal equity. We aim for actual pay to be around the market median for expected performance and the upper quartile for excellent performance. Actual salaries may vary based on experience and expertise.
