Director of Contract/Legal Strategy

Position Summary

Vidoori is seeking a Director of Contracts Strategy to lead contract administration, negotiation, and compliance across our contract portfolio. This role owns the full contract lifecycle — from proposal and pricing support through award, modification, and closeout — and serves as the company's executive for risk management, FAR/DFARS compliance, and subcontract/teaming agreement oversight. The ideal candidate combines formal legal training with hands-on government contracts experience and can operate at both the strategic and transactional level.

Key Responsibilities

• Own contract administration for a portfolio of federal prime and subcontract vehicles (BPAs, IDIQs, task/call orders, GSA Schedules), ensuring compliance with FAR, DFARS, and agency-specific supplements
• Partner with Business Development and Proposal teams on compliance matrices, terms and conditions review, and risk assessment during pursuit and proposal phases
• Draft, review, and negotiate teaming agreements, subcontracts, NDAs, MOUs, and modifications; identify and mitigate exclusivity, termination, and scope risk
• Interpret ambiguous or contested contract language (scope disputes, termination clauses, indemnification, liability caps) and provide legally grounded risk positions to leadership before Vidoori commits to a course of action
• Corporate Compliance – responsible for internal updates and recordkeeping relating to internal processes, ISO and CMMI compliance.
• Lead contract negotiations with contracting officers and prime/subcontract partners, including scope disputes, ceiling/funding modifications, and option exercises
• Maintain and continuously improve contracts policies, templates, and internal controls (e.g., contract tracking, compliance calendars, obligation/de-obligation tracking), in coordination with the current contracts team ongoing administration of these systems
• Advise executive leadership on contractual risk, regulatory changes, and strategic implications of proposed teaming or contract structures
• Ensure timely, accurate reporting on contract status, funding, and compliance obligations to executive leadership
• Work with outside counsel when necessary

Required Qualifications

• Minimum 10 years of experience in government contracts, with direct experience on federal IT services contracts
• Deep working knowledge of the FAR, DFARS, and agency supplements; strong grasp of contract types (FFP, T&M, cost-reimbursement) and vehicles (BPAs, IDIQs, GSA Schedules)
• Demonstrated experience negotiating and redlining subcontracts, teaming agreements, modifications, and contracts
• Experience supporting proposal compliance reviews and risk assessments in a small business government contracting environment
• Strong written and verbal communication skills, with the ability to translate contractual risk into executive-level guidance
• High attention to detail balanced with the ability to work at a strategic, big-picture level
• Preferred Qualifications
• J.D. (Juris Doctor) from an accredited law school
• Experience with federal contract vehicles
• Familiarity with small business set-aside programs (8(a), WOSB, etc.) and mentor-protégé agreements
• Experience with contract management/ERP tools and SharePoint-based contract tracking systems
• Experience with protests, HB1 Visas, Immigration policies
