Job Description
We are looking for a commercially minded legal leader to serve as our Director of Business & Legal Affairs. This role sits at the intersection of law, business, strategy, and execution, partnering closely with executive leadership to enable growth, protect the business, and scale our global operations.
The Director will lead the company’s legal operations, commercial contracting, compliance, privacy, and select business initiatives, acting as a trusted advisor across the organization. This role owns the full lifecycle of complex commercial agreements, serves as Compliance Officer and plays a hands-on role in closing strategic deals with customers, partners, and financial institutions.
This is not a back-office legal role - it is a front-line business leadership position requiring sharp legal judgment, strong commercial instincts, communication skills and the ability to move fast in a high-growth environment.
Responsibilities
Key Responsibilities
Commercial Leadership & Deal Execution
- Lead and quarterback negotiations with merchants, lenders, financial institutions, strategic partners, and vendors.
- Draft, review, and manage the company’s core commercial agreements, including:
- Master Services Agreements (MSAs)
- Lender and Financial Institution Agreements
- Business Development and Strategic Partnership Agreements
- Own the execution and approval of complex, high-impact contracts, ensuring legal rigor, commercial value, and alignment with company strategy.
- Play a central role in scaling the company’s global partner ecosystem through negotiation of strategic partnerships.
- Secure favorable commercial and legal terms that strengthen the company’s competitive position and long-term growth.
- Participate in internal commercial approval forums to evaluate deal economics, risk exposure, technical scope, and legal considerations.
Strategic Business Partnership
- Support market expansion initiatives by navigating complex regulatory, contractual, and operational environments with a pragmatic, business-first approach.
- Act as a trusted advisor to Finance, HR, Sales, Marketing, and Business Development teams on ongoing contractual, commercial, and operational needs.
- Monitor contract performance and advise on renewals, amendments, and dispute resolution to protect and advance the company’s interests.
Litigation & Risk Management
- Oversee all company litigation and disputes, including active and threatened matters (e.g., commercial and employment-related claims).
- Manage external counsel and advise executive leadership on litigation strategy, risk assessment, and resolution options.
Compliance, Privacy & Regulatory Oversight
- Own and manage the company’s compliance framework, owning company’s Compliance Policies, ensuring adherence to applicable financial, fintech, and consumer protection regulations.
- Lead responses to legal, business, compliance, and partner-driven audits and due diligence processes.
- Ensure timely, accurate, and transparent engagement with auditors, partners, and regulators.
- Design, implement, and continuously manage the company’s compliance training program for employees, meeting lender, merchant, and financial institution requirements.
- Oversee compliance reviews for material changes to consumer-facing materials, product flows, and disclosures.
- Assess, manage, and mitigate third-party risk through due diligence, contractual safeguards, and ongoing monitoring.
Privacy & Data Protection
- Serve as the company’s Data Protection Officer (DPO).
- Own and maintain the company’s Privacy Policy and privacy governance framework.
- Ensure compliance with applicable data protection laws, regulations, and Data Processing Agreements (DPAs).
Requirements
- 4-7 years of experience in legal, compliance, or business affairs roles, preferably in tech, fintech, financial services, or SaaS environments.
- Excellent English communication skills (written and verbal) with strong executive presence.
- Proven experience negotiating complex commercial agreements and supporting strategic partnerships.
- Exceptional communication, negotiation, and stakeholder management skills.
- Comfortable operating in a fast-paced, high-growth environment with significant ownership and autonomy.
