We are seeking a highly qualified and experienced individual to assume the role of Head of Risk and Compliance for our Luxembourg Management Company. This senior leadership position carries Conducting Officer (dirigeant effectif) responsibilities in line with CSSF Circular 18/698 and other applicable regulatory requirements.

The successful candidate will be responsible for setting the strategy, overseeing the execution, and ensuring the independence and effectiveness of both control functions, while contributing to the overall governance and risk culture of the firm.

Key Responsibilities

The successful candidate will act as the Functional Head of Risk and Compliance with teams spanning Risk and Compliance.

As Conducting Officer – Risk Management

  • Serve as the appointed Conducting Officer for Risk, with direct accountability to the Board and CSSF.
  • Own the design, implementation, and regular review of the Risk Management Framework covering all applicable risk types (e.g. market, liquidity, credit, operational, counterparty, valuation, leverage).
  • Ensure appropriate risk identification, measurement, monitoring, and mitigation processes for UCITS and AIF portfolios.
  • Oversee risk limits, escalation protocols, and breaches reporting.
  • Coordinate risk reporting to internal committees and external regulators.
  • Ensure that portfolio risk profiles remain aligned with fund strategies, investor disclosures, and regulatory limits (e.g. VaR, leverage, stress testing).
  • Lead the 2nd line risk input into product launches, fund onboarding, and due diligence processes.

Compliance

  • Oversee and manage the Compliance Team in Luxembourg
  • Ensure ongoing compliance with:
    • CSSF, UCITS, AIFMD, SFDR and MAR requirements
    • Internal policies, fund prospectuses, and cross-border marketing rules
  • Serve as point of contact for CSSF correspondence, inspections and reporting obligations
  • Support regulatory change management ensuring timely assessment, implementation, and embedding of new and evolving regulatory requirements.
  • Oversee regulatory training, code of ethics, and personal account dealing compliance.

Leadership and Governance

  • Participate actively in Executive and Risk Committees, and support Board-level governance.
  • Build and manage a risk and compliance programme and team
  • Foster a robust risk and compliance culture across the Management Company and its third-party relationships (e.g. portfolio managers, fund administrators, distributors).
  • Ensure that the control functions maintain independence, authority, and adequate resources as per regulatory expectations.

Required Qualifications

  • Minimum 10 years of experience in asset management, risk and compliance, with prior Conducting Officer experience in Luxembourg. Proven experiencing managing a Risk and Compliance team.
  • Proven knowledge of Luxembourg, Irish and EU fund regulations, including CSSF Circulars, UCITS/AIFMD, SFDR, and AML rules.
  • Knowledge of products including ETFs and relevant market abuse regulation requirements.
  • Strong understanding of investment risk, financial instruments, and control frameworks.
  • Familiarity with outsourcing oversight, including delegated risk and compliance functions.
  • Fluent in English; French, German, or Luxembourgish is an advantage.
  • Excellent stakeholder management, decision-making, and regulatory communication skills.

Desirable Attributes

  • Recognised certifications (e.g. CFA, FRM, CAMS) are highly valued.
  • Experience in multi-jurisdictional fund distribution and marketing compliance.
  • Ability to interface effectively with CSSF, external auditors, and depositaries.
