About the Role

iCapital is looking to hire a Data, Technology and IP Attorney to join the Legal team with a focus on contracts and commercial matters. The ideal candidate can work across all functions, help manage external contractual relationships, and supervise outside counsel. You’ll work closely with a variety of teams, including Sales, Partnerships, Technology, Product and Regulatory Compliance. This is a role for an intellectually curious quick-thinker, capable of assessing nuanced risks in the context of business objectives and providing easily understood, actionable advice. This role will work closely with both our Head of Legal for Data, Technology and IP and other attorneys within our Legal and Regulatory Compliance groups.

Responsibilities

  • Draft and review complex, technology-driven client engagement agreements.
  • Develop and implement standard client form documentation and leverage contract lifecycle management solutions to improve efficiency and consistency of client and vendor agreements.
  • Take a leadership role in AI governance, including monitoring and applying evolving global AI rules, partnering with internal practice or engineering teams to test generative tools, build legal prompt frameworks, redesign operational processes, and evaluate AI system outputs for bias, security vulnerabilities, and intellectual property infringement.
  • Draft and review a variety of general corporate agreements related to human resources, finance, marketing, real estate, facilities, and alternative investments.
  • Draft and review various contracts, non-disclosure agreements, and other legal documentation.
  • Assist with legal aspects of strategic corporate development initiatives.
  • Perform ad hoc research projects.

Qualifications

  • 5+ years of relevant experience within a top-tier law firm and/or in-house at a technology or financial services firm, or within a related industry
  • Member in good standing of New York Bar or another state or jurisdiction
  • Strong interpersonal and leadership skills
  • Willingness to learn new topics and work in an evolving business environment
  • High level of integrity
  • Organized and detailed oriented with big picture capability
  • Practical understanding of machine learning architecture, cloud infrastructure, APIs, and tech platforms

Benefits

The base salary range for this role is $150,000 to $190,000. iCapital offers a compensation package which includes salary, equity for all full-time employees, and an annual performance bonus.
