Corporate Transactions Associate

Location: Silicon Valley, CA (Onsite)
Full-Time | Direct-Hire
Salary Range: $240,000 - $350,000 (based on experience)

About the Role

HireNow Staffing is recruiting a Corporate Transactions Associate to join a top-tier legal team in Silicon Valley. This role is perfect for a mid-level attorney (2-5 years' experience) looking to step into a high-impact, client-facing position handling a wide range of sophisticated transactions. From emerging company work and venture capital deals to M&A and private equity transactions, you'll play a pivotal role in advising startups, established companies, funds, and entrepreneurs through critical growth phases.

What You'll Do

• Manage and support venture financings, early-stage investments, and capital raises

• Draft, review, and negotiate transaction documents for mergers, acquisitions, joint ventures, and other strategic deals

• Advise companies on general corporate governance, compliance, and legal structuring

• Actively collaborate with partners and clients, offering hands-on support and strategic legal counsel

• Oversee and coordinate due diligence, document preparation, closings, and post-transactional matters

• Maintain and grow long-term relationships with high-growth companies, private equity firms, and investors

Qualifications Were Looking For

JD from an ABA-accredited law school
Member in good standing of the California Bar
2-5 years of relevant corporate transactional experience

Skilled in venture capital financing, M&A, and private equity deals

Strong background in contract drafting, project management, and business counseling

Comfortable in fast-paced, high-growth environments and client-facing settings

Excellent communication, writing, and interpersonal skills
