Your mission

PTV Logistics operates 15–20 legal entities across Europe and the US under private equity ownership. As Corporate Secretary, you are the single owner of corporate records, entity compliance, and governance administration for the group – a hands-on role with no direct reports, carrying a clear mandate to simplify the entity portfolio, professionalize record-keeping, and put intercompany arrangements on a proper legal footing. Your work spans:

• You own the group's statutory records end-to-end, keeping minute books, shareholder registers, articles, resolutions, and certificates complete and audit-ready across all entities.
• You manage the group compliance calendar, including annual accounts filings, commercial register (HRB) submissions, UBO and transparency registers, and equivalent requirements in Belgium, the US, and other jurisdictions.
• You drive entity simplification by leading closures, liquidations, mergers, and cross-border reorganizations together with external legal advisors, and support new entity formations where needed.
• You design and roll out a standardized intercompany framework, covering service agreements, IP licenses, approval workflows, and a central repository of all agreements and amendments.
• You bridge PTV's statutory entities and its functional operating organization, documenting Managing Director roles and authorities and maintaining a group-wide authorization matrix.
• You prepare shareholder resolutions, notices, proxies, and board materials, liaise with Bridgepoint on governance matters, and provide corporate documentation for banking mandates, credit facilities, and debt financing workstreams.

Your profile

• You hold a degree in law, business administration, or a comparable field, or you bring equivalent experience as a company secretary, paralegal, or corporate governance professional.
• You have several years of experience in corporate secretarial or entity governance work, ideally within a multi-entity, private equity-backed, or international group structure.
• You are familiar with German corporate law and commercial register (Handelsregister) practice, and you pick up requirements in other European jurisdictions with confidence.
• You have hands-on experience drafting and administering intercompany agreements, shareholder resolutions, and board or governance documentation.
• You communicate fluently in English, both written and spoken, and you work confidently with shareholders, banks, notaries, and external advisors. Additional German skills would be a nice to have.
• You are structured, detail-oriented, and comfortable owning a broad compliance and governance mandate independently, with no direct reports, in a part-time and hybrid setup.
