Overall governance
• Act as the key assistant to the Company Secretary in all Company Secretary's role as required by law.
• Propose, periodically review and revise, and implement relevant corporate governance policies relevant to Corporate Secretary role, in order to ensure that they are up-to-date and align with the acceptable standards.
• Assist the Company Secretary in promoting knowledge and understanding about corporate governance principles and ensuring the company has complied with CG guidelines and policies, in order to be ranked as top CG listed companies.
Function-related accountabilities
1. BoD/AGM Meetings
• Act or support senior members in acting as a secretary of BoD/AGM meetings, including checking schedules of members, preparing necessary materials/documents (such as meeting agenda and other relevant reports), and recording meetings, in order to facilitate business operations under specified target and timeline.
• Manage, monitor, and perform complex activities related to the write-up, reviewing and disseminating minutes of the BoD/AGM meetings to relevant parties, as well as dealing with correspondence, collating information, and writing reports, to ensure decisions are made and meeting discussions are communicated to relevant stakeholders accurately and in a timely manner.
• Manage, monitor, and handle complex resolutions, requests, and initiatives arising from BoD, in order to ensure that those actions and decisions are communicated and followed up where necessary.
• Manage and monitor the coordination and communication of key activities with relevant functions, in order to ensure sharing of necessary information and documentation for meetings, company formalities, and filing in a timely manner.
2. Company Formalities
• Manage, monitor, and support junior members in handling complex company formalities, including non-complicated corporate registration with Department of Business Development (DBD), key activities, and filing company documents, to be in compliance with Corporate Law, and relevant legal requirements.
• Provide advice in relation to SEC & SET requirements to ensure that the company, directors, and management have performed their duties under the statutory requirements, articles of association, shareholders’ resolutions, and relevant laws, including SEC regulations under good governance principles.
• Advise and assist all directors and management regarding the report on securities holdings pursuant to Section 59 of SEC Law and relevant reports to be submitted to SEC and SET in a timely manner.
• Coordinate with SEC, SET, and Thailand Securities Depository regarding shareholders meetings and pertinent matters, as necessary, to ensure smooth operations.
• Draft 56-1 One report and coordinate with relevant parties to obtain information to ensure report development successfully.
