Job Description
Deposita, an Allied Universal® Company, is hiring a Corporate Paralegal. The Corporate Paralegal acts as a liaison between the company and internal clients, ensuring that contractual documents meet with the policies and procedures of the company and the department. Primary responsibilities include input and maintenance of data in Smartsheet and Serengeti and managing contract workflow.
RESPONSIBILITIES:
- Own and administer the Legal Department's contract intake and review process; develop quality assurance processes and implement processes to resolve deficiencies
- Develop, document, administer, and improve Legal Department workflows, procedures, templates, trackers, and systems
- Identify bottlenecks, analyze recurring issues, develop and implement process improvement measures
- Provide expert advice to business development managers in devising solutions to contract negotiations that provide optimum protection to corporation while facilitating business transactions
- Review incoming requests for completeness, obtain missing information, and route matters appropriately
- Maintain visibility into pending legal and contract matters and proactively follow up with stakeholders to keep matters moving
- Track contract status, approvals, execution, renewals, and other key milestones
- Serve as the primary point of contact for routine questions regarding the status and process for legal and contract requests
- Coordinate contract execution and signature processes
- Maintain accurate contract records, files, metadata, trackers, and reporting
- Assemble exhibits, schedules, SOWs, amendments, and other attachments and prepare clean, execution-ready documents
- Compare document versions, incorporate approved changes, manage redlines, and maintain approved templates and standard forms
- Provide administrative or initial review of agreements to identify missing information, attachments, signatures, dates, or other issues requiring follow-up
- Handle routine Non-Disclosure Agreements, amendments, and other standard-form documents within established Legal guidelines, with substantive or non-standard issues escalated to the General Counsel
- Maintain Legal Department files, records, templates, policies, and other resources
- Develop and maintain reporting regarding contract volume, status, turnaround times, outstanding matters, and other Legal Department activity
- Assist with administration of contract management, electronic signature, document management, and other Legal Department technology
- Maintain calendars and reminders for relevant contractual, corporate, and legal deadlines
- Provide administrative support to the General Counsel and Legal Department
- Coordinate signatures, approvals, certifications, corporate documents, and other routine legal documentation
- Assist with corporate governance and entity-management records as needed
- Coordinate administrative matters involving outside counsel and other legal service providers
- Assist with legal invoices, budgeting information, audits, due diligence requests, and other routine information requests
- Provide daily legal and business advice and counsel to business managers on Contract documents to include Non-Disclosure Agreements, template agreement, vendor agreements
- Manage collection firms and track collections
- Review service agreements and other contracts which the corporation may become a party to, to ensure that the terms and conditions are acceptable to the corporation and provide optimum protection
- Onboarding of vendors and suppliers in keeping with documented processes
QUALIFICATIONS:
- Must possess a high school diploma or equivalent
- Ability to obtain and maintain all necessary state or federal licensing requirements
- Must possess a minimum of three (3) years of experience in contract administration, customer service operations, or administrative assistance in a legal environment
- Knowledge of fundamental contract principles and terminology
- Ability to work independently with strong attention to detail

PREFERRED QUALIFICATIONS:
- College degree or specific college level classes in related field
- Paralegal or Juris Doctor degree
