Job DetailsJob Location: New Jersey Office of Norris McLaughlin PA - Bridgewater, NJ 08807Salary Range: $70,000.00 - $85,000.00 SalaryEssential Functions:
Assist in the preparation and filing of corporate and organizational documents, including Articles of Incorporation/Organization, Bylaws, operating agreements, advertising and annual reports.
Preparation and filing of Uniform Commercial Code Financing Statements and amendments, as well as conducting docket management, searches, renewals and additional filings.
Obtain EIN and preparing and filing S-elections.
Process dissolutions for all entity types.
Prepare organizational resolutions, approval and consents, as well as preparing secretary/manager/member/general partner certificates.
Analyze contracts and other transaction documents.
Coordinate due diligence and disclosure schedules for mergers and acquisitions.
Perform research of statutory requirements for corporate filings and annual reports in domestic and international jurisdictions.
File annual reports and other required documents with state and federal agencies; monitor legislation updates.
Corporate Franchise Tax calculation and payment.
Document retrieval for Certified Copies, Certificates of Good Standing and legalization of corporate documents.
Maintain corporate minute books, stock ledgers and stock certificates.
Assist in client correspondence, notarization, and document execution, ensuring compliance with state and federal regulations.
Prepare closing checklists, binders and signature pages.
Respond to audit letter requests.
Conduct research using Lexis-Nexis and Westlaw.
Other Duties and Responsibilities:
SEC and Blue Sky filing – not essential and willing to train.
Assist with other functions as needed in the Business Law Group.
Understand functionality of all office equipment and systems.
Attend educational workshops, joining professional associations, building networks with fellow professionals, and reviewing industry publications to understand best industry practices.

Education and Experience:
Minimum of 5+ years of experience as a corporate paralegal, preferably in a law firm setting, with a focus on the essential functions described above.
Experience with M&A and commercial finance transactions, regulatory filings, and compliance matters is highly preferred.
