Corporate Legal Specialist
The Corporate Legal Specialist supports the Group CoSec team in managing corporate governance, legal documentation, and regulatory compliance across multiple jurisdictions. This role is responsible for coordinating corporate documentation, maintaining statutory records, supporting entity management and facilitating the preparation and execution of legal documents. The ideal candidate is highly organized, detail oriented and capable of managing complex documentation and multiple priorities within short time-frame.
Responsibilities
- Support the Group CoSec team in managing corporate governance matters, including the preparation, review and coordination of corporate documentation such as board resolutions, shareholder resolutions, powers of attorney, and corporate approvals.
- Draft, review and format a range of corporate legal documents and ensure proper documentation for internal approvals and execution.
- Coordinate document execution processes, including arranging signatures from Directors and authorized signatories and ensuring appropriate version control and proper log.
- Maintain and update statutory records, corporate registers and entity documentation across multiple jurisdictions.
- Organize and manage large volumes of corporate and legal documentation, ensuring proper filing and accessibility within document management systems.
- Liaise with internal stakeholders and external service providers to obtain required documentation and support corporate transactions or filings.
- Track and monitor corporate filings, deadlines and regulatory requirements to ensure timely compliance.
- Support corporate transactions, restructuring, and other legal projects by preparing documentation and coordinating internal processes.
- Assist with the implementation and maintenance of document management processes and best practices within the Group CoSec team.
- Provide general legal and administrative support to the Legal department as required.
Requirements
Minimum Qualifications:
- Bachelor’s degree or equivalent practical experience
- At least 6 years of relevant experience in a corporate legal, corporate paralegal, corporate secretarial role.
- Experience supporting corporate governance matters and handling corporate documentation
- Strong organizational and document management skills with a high level of attention to detail.
- Ability to manage multiple priorities and meet deadlines
- Strong written and verbal communication skills
- Ability to handle sensitive and confidential information with discretion
Preferred Qualifications
- Familiarity with multi-jurisdictional corporate structures and requirements, including offshore jurisdictions
- Experience coordinating with external counsels, corporate service providers and registered agents
- Experience supporting corporate transactions, entity management and regulatory filings across multiple jurisdictions.
- Strong stakeholder management and collaboration skills in a cross functional environment.
