Job Title: Corporate Lawyer — Chile

Location: Chile — Santiago preferred (Hybrid)

Type of Contract: Full-Time | Independent Contractor | Monthly Retainer

Salary Range: Market Rates, negotiable based on experience

Our client is seeking a skilled Corporate Lawyer with strong Chilean corporate and commercial law experience to support international clients establishing and operating entities in Chile. You will play a key role in entity formation, statutory compliance, legal representation, and ongoing corporate administration. Your work will directly impact clients' ability to establish and maintain compliant Chilean operations efficiently.

Key Responsibilities

• Support the incorporation of Chilean legal entities, including SpA, S.A., and Ltda., by preparing incorporation documents and coordinating notarization and registration with the Registro de Comercio and relevant authorities
• Coordinate initial tax registration and commencement of activities with the Servicio de Impuestos Internos (SII), including management of required tax and electronic filing credentials
• Act as, or coordinate the appointment of, local legal representatives and authorized representatives for client entities as required under Chilean law
• Draft and review powers of attorney, board resolutions, shareholder resolutions, and meeting minutes, and manage their notarization, registration, and ongoing validity
• Manage ongoing corporate compliance obligations, including maintenance of corporate records, shareholder documentation, statutory books, and annual or periodic corporate filings
• Prepare and maintain beneficial ownership, tax, and other corporate compliance documentation required by Chilean authorities and applicable regulations
• Coordinate registered office and domiciliation arrangements for client entities
• Liaise directly with international clients and referral partners, including global EOR and PEO providers, in English regarding entity structuring, compliance timelines, and documentation requirements
• Coordinate with notaries, the Registro de Comercio, SII, municipal authorities, and other relevant government agencies to progress incorporation and compliance matters
• Provide ad-hoc legal advisory support on employment law, commercial contracts, corporate structuring, dormant entity maintenance, reorganizations, and dissolution
• Support the review and negotiation of commercial contracts and agreements for international clients operating in Chile

Must-Have Qualifications

• Law degree (Licenciatura en Ciencias Jurídicas y Sociales) from an accredited Chilean university and qualification to practice law in Chile
• Active membership or registration with the relevant Chilean legal and professional authorities, as applicable
• Minimum 3 years of experience in corporate/commercial law, ideally supporting foreign-owned entities or international clients
• Strong working knowledge of Chilean corporate and commercial law, including the Código de Comercio, Ley de Sociedades Anónimas, and regulations applicable to SpA entities
• Practical experience with entity incorporation, Registro de Comercio procedures, notarization, and SII registration and tax commencement processes
• Fluent Spanish and professional-level English, both written and spoken
• Experience drafting incorporation documents, powers of attorney, shareholder or board resolutions, and corporate agreements

Preferred Qualifications

• Experience supporting global EOR, PEO, or multi-country expansion service providers
• Familiarity with Chilean employment and immigration processes, including matters involving the Dirección del Trabajo and Servicio Nacional de Migraciones
• Experience with beneficial ownership, AML/KYC, and corporate compliance requirements
• Experience with trademark and intellectual property registrations before INAPI
• Experience advising foreign companies on Chilean market entry, corporate structuring, and ongoing entity administration
