The Corporate Governance Manager is responsible for making sure that robust and proportionate corporate governance framework and processes are implemented and adhered to. The position will be responsible for the development and implementation of a framework of rules and practices by which all Boards of Directors of companies under the Group to ensure accountability, fairness, and transparency in relationship with all stakeholders. The framework includes distribution of rights, responsibilities and rewards, and procedures for reconciling conflicting interests, proper supervision, control, and information flow. Stakeholders may include shareholders, Board of directors, management, employees, and the community. All activities of the Corporate Governance Manager are under a direct supervision of the Corporate Governance Director.
Reporting to the Corporate Governance Director, the Corporate Governance Manager manages the implementation, operation and continuous improvement of the Group's approved corporate governance framework and assigned workstreams. The role translates the Director's requirements into practical processes, authorities, controls and systems, covering Delegation of Authority (DoA), Board and committee governance support, authorised signatory governance, corporate entity records, Corporate Policy Management Framework implementation, monitoring and digitalisation. The role leads assigned personnel and coordinates delivery within approved authorities and resources, preserving business and specialist functional accountabilities

Strong practical knowledge of corporate governance principles, frameworks, Board and committee structures, decision rights, subsidiary governance and corporate entity records.
Strong knowledge of DoA and authorised signatory frameworks, approval and authority-management processes, segregation of duties and governance-related controls.
Strong practical knowledge of the Corporate Policy Management Framework and policy lifecycle governance, with the ability to manage governance instruments, document standards and controlled issuance while preserving Policy Owner accountabilities.
Strong analytical, stakeholder-management, communication and problem-solving skills, with the ability to translate governance requirements into practical processes, guide assigned teams and prepare management reports.
Good understanding of ERP-enabled governance and workflow management, preferably SAP/BTP, including authority-to-workflow mapping, functional validation and the respective responsibilities of governance and technical teams.
Minimum 8 years of relevant professional experience in corporate governance, governance operations, internal control, compliance, business process governance or a related discipline, including relevant supervisory or managerial experience.
Demonstrated experience in DoA, governance frameworks, corporate policy management, Board/committee and authorised signatory governance, and governance monitoring within a diversified, multinational or multi-entity organisation.
Practical experience with ERP-enabled governance processes and workflow automation, preferably including SAP, together with experience coordinating cross-functional governance or process-improvement initiatives.
