As Corporate Development & Finance, you will support StickEarn's long-term growth strategy by leading and executing corporate finance, fundraising, mergers & acquisitions, and corporate development initiatives. The role is responsible for preparing the company for future capital market activities, evaluating strategic investment opportunities, managing investor and lender relationships, and supporting executive management in strategic decision-making.
🌟 What You’ll Do
Corporate Finance & Strategic Readiness
- Support the company’s long-term corporate finance strategy and organizational readiness for future growth and financing initiatives.
- Coordinate financial audits, internal control enhancements, governance improvements, and cross-functional readiness workstreams.
- Prepare financial information, management presentations, and supporting documentation for strategic transactions, financing activities, and other corporate initiatives.
- Coordinate with auditors, legal counsel, investment banks, and other professional advisors.
- Track key milestones, dependencies, and project timelines to ensure effective execution across relevant workstreams.
Mergers & Acquisitions (M&A)
- Conduct financial, commercial, operational, and strategic due diligence on acquisition targets.
- Build financial models, valuation analyses, investment memorandums, and recommendations.
- Support deal structuring, negotiations, transaction documentation, and execution.
- Coordinate internal teams and external advisors throughout the transaction process.
- Support post-acquisition integration planning and synergy realization.
Corporate Development & Deal Sourcing
- Identify and evaluate acquisition, merger, investment, and strategic partnership opportunities.
- Build and maintain a pipeline of potential acquisition targets and strategic partners.
- Develop relationships with founders, shareholders, investment banks, venture capital firms, private equity firms, and corporate advisors.
- Conduct market research, competitive analysis, and industry mapping to identify growth opportunities.
- Evaluate strategic expansion opportunities across new products, markets, partnerships, and business models.
Debt Capital & Financing
- Evaluate debt financing alternatives, including bank facilities, venture debt, structured financing, and other capital solutions.
- Prepare financing proposals, lender presentations, and supporting financial analyses.
- Manage relationships with banks, financial institutions, lenders, and other financing partners.
- Support debt negotiations, structuring, and financing execution.
- Monitor financing obligations and covenant compliance.
Equity Fundraising
- Support equity fundraising initiatives involving existing and prospective investors.
- Prepare investment decks, financial models, valuation analyses, and data room materials.
- Coordinate investor due diligence requests
- Support negotiations throughout fundraising processes.
- Maintain the fundraising pipeline and manage ongoing investor engagement activities.
Investor & Shareholder Relations
- Support communications with existing shareholders, investors, and prospective investors.
- Prepare quarterly investor updates, Board presentations, shareholder reports, and other communication materials.
- Coordinate Board of Directors and shareholder meetings.
- Maintain investor records and communication materials.
- Support management during investor meetings, presentations, fundraising discussions, and roadshows.
Strategic Planning & Business Analysis
- Support executive management in evaluating strategic initiatives and investment opportunities.
- Develop business cases for expansion initiatives, new business lines, and strategic investments.
- Conduct financial and operational analyses to support executive decision-making.
- Support long-term strategic planning, capital allocation, and corporate growth initiatives.
Financial Modelling & Valuation
- Develop and maintain financial models for acquisitions, fundraising, capital allocation and strategic projects.
- Prepare company valuation analyses using relevant valuation methodologies.
- Perform scenario planning and sensitivity analyses.
- Support budgeting and long-term financial planning for strategic initiatives.
Corporate Governance
- Support corporate governance initiatives and compliance with regulatory requirements.
- Coordinate Board meeting materials, resolutions, and governance documentation.
- Maintain corporate records, shareholder documentation, and investment agreements.
- Ensure compliance with shareholder agreements, financing covenants, and governance policies.
Post-Investment & Post-Acquisition Monitoring
- Monitor the performance of acquired businesses and strategic investments.
- Track integration progress and synergy realization.
- Prepare periodic performance reports for management and investors.
- Recommend corrective actions to maximize investment returns.
Special Projects
- Lead or support special projects initiated by the CEO and executive management.
- Support corporate restructuring, joint ventures, strategic alliances, divestments, and new business initiatives.
- Coordinate cross-functional strategic projects involving Finance, Legal, Operations, and other business teams.
✅ What We’re Looking For
- Bachelor’s degree in Finance, Accounting, Economics, Business, or another relevant field. An MBA, CFA, or other relevant professional qualification is an advantage.
- Minimum 5 years of experience in a related field.
- Strong experience in financial modelling, company valuation, investment analysis, fundraising, financing, or M&A transactions.
- Strong commercial judgment and the ability to evaluate opportunities beyond financial performance alone.
- Confidence engaging with investors, lenders, founders, advisors, Board members, and senior executives.
- Comfortable working independently and managing multiple strategic priorities in a fast-paced, high-growth environment.
