We're looking for a Corporate Development Senior Manager/Director to drive the execution of complex insurance M&A transactions and strategic partnerships. This is a high-impact, cross-functional role at the center of one of Bowtie's most significant strategic initiatives — you'll be the day-to-day driver of the deal, working directly with our leadership team and external advisors to deliver transactions on time and on budget.
This isn't a pure advisory or strategy seat. You'll own execution, end to end — and you'll be expected to use AI tools to move at a pace that only technology-augmented dealmaking can deliver.
About the Role
You'll lead the full transaction lifecycle for M&A and strategic partnership deals, coordinating across actuarial, legal, compliance, IT, operations, and distribution to get complex, multi-party deals across the line.
Key Responsibilities
1. Transaction Execution
Lead the end-to-end transaction process — deal structuring, due diligence coordination, term sheet negotiation, definitive agreement drafting, regulatory approvals, and post-integration
Own project plans, risk registers, and board/management reporting packs
2. Cross-Functional & Regulatory Coordination
Coordinate cross-functional workstreams (actuarial, legal, compliance, IT, operations, distribution) to deliver transactions
Manage regulatory submissions and engagement with the Insurance Authority
3. Partnership & Opportunity Evaluation
Evaluate bancassurance, distribution, and ecosystem partnership opportunities, including commercial terms, payment structures, and go-to-market strategies
4. Technology-Augmented Execution
Use AI tools to accelerate deal analysis, document review, financial modelling, and project tracking
About You
Experience & Skills
8–12 years' experience in M&A, corporate development, or management consulting with an insurance sector focus
Proven track record managing complex, multi-stakeholder transactions from origination to close
Strong financial modelling, valuation, and deal analysis skills
Solid understanding of Hong Kong insurance regulation (Insurance Ordinance, HKRBC)
Fluent in English; Cantonese and/or Mandarin a strong advantage
A strong plus: actuarial qualification or part-qualification (e.g. IFoA, SOA)
A strong plus: experience with insurance M&A and portfolio transfers
A strong plus: familiarity with bancassurance distribution models and partnership economics
A strong plus: regional experience in Southeast Asia and Greater China
A strong plus: prior experience at a top-tier consulting firm or Big 4 insurance advisory
