This position is based at our corporate headquarters in Naples, FL. Remote work may be considered for highly qualified candidates. For remote employees, quarterly travel to Naples for one week of on-site collaboration is required.

Arthrex is actively searching for a Corporate Counsel, Sr. This individual will be responsible for protecting the organization's legal interests and maintaining its operations within the scope established by law. The successful candidate will have a strong background in corporate and transactional law and will provide strategic legal counsel across multiple business functions. Responsibilities include drafting, negotiating, and interpreting complex commercial agreements such as asset purchase and merger agreements, development and sales agreements, distribution and confidentiality agreements, consulting, and service agreements. This role will lead due diligence, negotiation, and documentation for mergers, acquisitions, and other key strategic transactions. Essential Duties and Responsibilities:

  • Provides advice and counsel to various internal functions and will draft, edit, negotiate, review and interpret complex commercial agreements spanning across all functions within the company, including, asset purchase agreements/merger agreements, development agreements, sales agreements, distribution agreements, confidentiality agreements, consulting agreements, and service agreements.
  • Lead due diligence review, negotiation and documentation of mergers and acquisitions and key strategic transactions, as needed.
  • Assist the Deputy General Counsel and General Counsel in the resolution of legal issues that arise in existing commercial relationships.
  • Assist the Deputy General Counsel and General Counsel company’s legal structure, including organizing and dissolving entities and providing ongoing compliance with local legal requirements and best practices.
  • Manages the development and implementation of global legal strategies relating to global commercial activities.
  • Provides timely advice and counsel to executives and senior management by advising the business on laws, regulations, and company policies.
  • May supervise attorney(s) and legal support staff.
  • Up to 10% of outside travel may be required.

Education and Experience:

  • Must be a graduate of an accredited law school.
  • 5-10 years’ experience required as an attorney in corporate and transactional law within a law firm and/or in house setting.
  • Must be admitted into and a member in good standing of a state bar.
  • Experience in the medical device, pharmaceutical, or life sciences industry preferred.

Knowledge and Skill Requirements/Specialized Courses and/or Training:

  • Advanced writing, comprehensive reading, communication and research skills required.
  • Electronic based legal research experience required.

Machine, Tools, and/or Equipment Skills:

  • LEXIS/Westlaw, Excel, MS Office, PC, printer, copiers and other miscellaneous office equipment.
