argenxis seeking an experienced corporate lawyer who will function as a strategic advisor,providing advice to the company on arange of corporate and governance matters,securities laws, compliance with the EUmarket abuse regulation,equity planand ESG matters. This role will report to theHead ofCorporateGovernance & DeputyCorporateSecretaryThe primary focus ofthis role will be to provide key corporate governance,securitieslawsandcorporate housekeepingsupportand toexecutethelong-termESGstrategyJoiningargenxwill present abroadrange of growth opportunities,includingleadingstrategic projectsas we continue to grow as a Company whilehandlingcomplexcross-jurisdictional challengesTheCorporateCounsel is part oftheCorporatelegalteam andwillcollaborate closely with othermembers ofthe Legal, Compliance & IP Teamand other internal stakeholders such as Finance,HRand IR

ROLESANDRESPONSIBILITIES

Your primary areas of focus are:

  • In collaboration withtheHead of Corporate Governance and Deputy Corporate Secretary

  • Oversee and manage the Company’sand key stakeholders’Dutch, Belgian and U.S.securities law obligations, includingcompliance withreporting requirements.

  • Further developing policies and provide advice on compliance with the EU Market Abuse Regulation

  • Advise onemployee equityincentiveplan

  • Provide support in corporate governance related matters, including developing,monitoringandimplementingbest-in-class and clear legalpolicies andpractices

  • In collaboration with external advisors, coordinate global group structuring, corporate housekeeping, and corporate compliance for local entities

  • Assistwithpreparation of the Company’sannualreporting materials,includingfortheannualreportand general meetings

  • In collaboration with external advisors, coordinatecompliance with CSRD and reporting requirements andsupportexecution of thelong-term ESG strategy

  • Stay current with legal/regulatory developmentsandbest practices in the relevant areas of law

SKILLS, EXPERIENCEANDCOMPETENCIES

  • Lawdegree and license to practice law inthe Netherlands (preferred) or Belgium

  • Fluent in Dutch & English

  • Expert in Dutchor Belgian& EU laws and regulations applicable to listed companies and their reporting (including DCGC, MAR,Euronext listing regulations)

  • Familiarity with US laws & regulations applicable to FPIs and other ongoing listing & reporting requirementsis a plus orable to issue spot and coordinatewithUS local counsel on these topics

  • Affinity with or interest inthe evolving ESG regulation landscape applicable to dual listed EUUSentities (including for example the CSRD, CSDDDand EU Omnibus Regulation)

  • Continued subject matterexpertisetraining (through a post-master’sspecializationsuch as (Grotius/VU Law academy or comparable) in a relevant area (such as corporate law, law & finance, public M&A) is desirable

  • Ability to work in a fast-paced environment, handle multiple, conflicting prioritiesindependentlywhile managing asubstantialworkloadandenjoyingbuilding relationships and partnering across the organizationto get the job done

  • Strategicand pragmaticmindset, able to look ahead andanticipateissues, spot opportunities for simplification and improvement, able to evaluate legal risks against the wider business contextand communicate ina simple wayto diverse audiences
