Purpose of the Job

Manage a team of approximately 30 FTE across one functional unit, with team members located in five countries (UK, Luxembourg, Netherlands, Germany, and Belgium) dedicated to Corporate Actions (including Private Equity) activities.
Oversee all Corporate Actions activities linked to clients and banking transactions within the Group. On these topics, ensure coverage of operational processes, transformation projects, risk & regulatory overview & as the case may occur support, across jurisdictions.

Key Accountabilities

  • Plan, organize, monitor, and control all operational activities related to Corporate Actions operations (including Private Equity). Coordinate the operational tasks of the department across various countries
  • Be accountable for the department's performance, operational risk management and customer excellence; Ensure compliance with regulations , internal policies, and procedures ; proactively manage operational risks and collaboration with other departments as well as with second and third line of defence
  • Ensure timely and accurate processing of Corporate Actions (MAND, CHOS, VOLU), Income events (non-BPO model) and PE operations. Serve as the SPOC for Lombard Odier or any other outsourcer (BPO model) and oversee their timely execution of these events
  • Lead transformation initiatives, including process streamlining, harmonization across all locations, and cost-saving measures. Align, integrate, and lead teams from all group locations into a unified team, and target operating model (TOM).
  • Ownership of processes & respective controls within the functional area. Support the Head of Group in continuous improvement, alignment and harmonization initiatives across all group locations (where applicable).
  • Support, if applicable, the local Service leaders to ensure a smooth BAU Day-to-Day-Processing in line with the operational targets and to avoid backlogs
  • Manage the performance of the Corporate Actions team and risk reviews, including FTE targets, operational KPIs, KRIs, SLAs, and client satisfaction. Improve operational systems, processes, controls and policies (best business practices) to support continuous improvement within the team
  • Promote an agile team dynamic through regular stand up meetings and floor sessions; Manage, lead, train, develop, and motivate the entire team to maintain high standards of professionalism and technical competence. Identify and nurture talent.
  • Conduct resource assessments, allocations, and skills development to ensure strong technical and operational expertise to meet client requirements.
  • Support the Head of Group & the peers where required, i.e. in recruitment, training, feedback and preparation of the annual performance reviews, projects, etc. Support the strategy and continuously execute the implementation of the Group Securities Strategy.

Knowledge and Experience

  • Further professional Education (Masters / Professional qualification)

Technical Skills

  • Strong expertise in the Corporate actions types, Proxy voting, Private equity operations, the Corporate Action processing & intervening parties, the income events & tax-related matters
  • Very good understanding of financial instruments (bonds, equities, money markets, forex, derivatives, funds), financial markets (main counterparties, liquidity, historical background), and operational matters.
  • Strong knowledge of data, securities and banking activities, products, processes and relevant regulations
  • Banking-Applications/Core-Banking
  • MS Office Suite

Languages Skills

  • Fluent in English, French and German
