Contracts Manager

Your Role and Responsibilities

The Contracts Manager is responsible for overseeing the full lifecycle of client and supplier contracts, ensuring commercial protection, legal compliance, and operational efficiency. This role will manage contract review, negotiation, risk assessment, and ongoing governance, working closely with Operations, Legal, Finance, and Engagement teams.

Key Responsibilities

Contract Drafting & Negotiation

  • Draft, review, and negotiate a range of commercial agreements, including:

o Master Service Agreements (MSAs)

o Statements of Work (SOWs)

o Non-Disclosure Agreements (NDAs)

o Supplier contracts and consultancy agreements

  • Lead contract negotiations with clients and suppliers to achieve balanced, commercially viable outcomes.
  • Ensure contractual terms align with company risk appetite and commercial strategy Risk Management & Compliance.
  • Identify, assess, and mitigate contractual risks (e.g. liability, indemnity, IP, termination, payment terms).
  • Maintain a contract risk register with clear RAG status and escalation points.
  • Ensure compliance with: o Applicable laws and regulations (UK, EU, US where relevant) o Internal policies and governance frameworks.
  • Coordinate with external legal counsel where required.
  • Complete client due diligence where required Process Improvement • Develop and maintain standard contract templates.
  • Improve contract turnaround times and approval processes.
  • Identify opportunities to streamline workflows using tools (e.g. contract management systems, enhance AI review tools).
  • Play a vital role in the management of our CRM (Monday.com).
  • Reduce reliance on external legal support through standardisation.
  • Log and record KPI’s.

Commercial Support

  • Support bid and proposal processes by reviewing contractual terms.
  • Assist with pricing/profitability considerations linked to contractual obligations.
  • Ensure consistency between commercial proposals and contractual agreements.
  • Play a key role in monitoring client concentration.

Contract Governance & Lifecycle Management

  • Manage the full contract lifecycle from drafting through execution and renewal/termination.
  • Maintain a centralised contract repository with version control and audit trails.
  • Track key contractual obligations, milestones, and renewal dates.
  • Support contract amendments, variations, and change control processes.

Key Skills & Experience

Essential

  • Proven experience in contract management, legal, or commercial roles.
  • Strong understanding of commercial contracts (MSAs, SOWs, NDAs).
  • Experience negotiating contract terms with clients and suppliers.
  • Ability to identify and clearly communicate contractual risks.
  • Highly organised with strong attention to detail.
  • Strong stakeholder management and communication skills.

Desirable

  • Experience in a consultancy, technology, or professional services environment.
  • Familiarity with international contracts (UK/US/EU jurisdictions).
  • Exposure to areas such as: Data protection (GDPR), Intellectual property, Insurance and liability frameworks.
  • Experience using contract management or legal tech tools.
