Apply the established contract governance framework consistently, ensuring adherence to approved templates, clause libraries, and internal approval matrices. Act as the governance gatekeeper by confirming all necessary internal approvals, business justifications, and Limits of Authority (LOA) requirements are fully satisfied prior to execution. Maintain audit-ready repository records, ensuring accurate version control, approval trails, and metadata logging. Manage assigned caseload to meet established turnaround time (TAT) targets and service level agreements (SLAs).
Draft, review, negotiate, and execute enterprise customer contracts, ensuring balanced risk management and legal compliance. Ensure pre- to post-sales contract processes are efficiently managed with clear execution roadmaps. Identify and mitigate contract risks, ensuring provisions protect business interests while maintaining legal integrity.
Act as the primary point of contact for internal teams (Sales, Legal, Pricing, Product and Operations) regarding contract queries, strategy, and risk assessments. Advise stakeholders on contract deviations, risk trade-offs, and strategic negotiation approaches. Provide insights into industry trends, contract best practices, and regulatory impacts.
Ensure contracts comply with internal policies, laws, and regulations. Drive a structured risk assessment methodology, ensuring commercial contracts have well-defined risk exposure and mitigation strategies. Review and enforce Related Party Transaction (RPT) compliance, ensuring governance for associated agreements.
Continuously evaluate contracting processes, identifying gaps and areas for improvement. Develop key performance indicators (KPIs) to monitor contract effectiveness, risk exposure, and operational efficiency. Implement solutions for contract automation, tracking, and reporting to enhance operational efficiency. Lead initiatives to improve contract visibility, documentation standards, and execution tracking.
