Conflicts Staff Attorney

Cooley is seeking a Conflicts Staff Attorney to join the Business Intake and Conflicts team.

The business intake and conflicts function is essential to the firm’s (1) compliance with (a) ethical obligations prevailing in jurisdictions in which the firm maintains offices and in which it practices and (b) the firm’s Risk Management policies and procedures, (2) avoidance of malpractice claims and ethical violations, and (3) ability to onboard new business, in the form of new clients and new matters for existing clients, new timekeepers and new employees in a timely fashion.

Working closely with Associate Directors of Conflicts, the Conflicts Staff Attorney is responsible for assu ring compli an ce with appli cable Rul es of Pro fession al Condu ct and assisting and m an aging ot her loss p revention fun ctions. The Con fli cts Staff Attorney is a st aff atto rney who und erst ands the rul es th at go vern l egal p racti ce and can perform p racti cal p ro cess es to ensu re compli an ce with those ru les. The Con fli cts Staff Attorney do es not p racti ce l aw for any cli ent oth er th an the fi rm and m aint ains p ro fession alism and st ri ct con fid enti ali ty in all cl ient and fi rm m att ers. Specific duties and responsibilities include, but are not limited to, the following:

Position responsibilities:

  • Maintain up-to-date knowledge of the American Bar Association (ABA) Model Rules of Professional Conduct as adopted in each state in which the firm maintains an office, and jurisdictional differences in all states, countries and practice areas in which the firm conducts business
  • Monitor ABA and jurisdictional rules for changes. Suggests modifications in firm policy to the Associate Director of Conflicts for approval
  • Analyze and resolve conflicts of interest related to new business and new hires
  • Effectively work with Managers, Directors, Conflict Analysts and firm attorneys to obtain the relevant information to make determinations on conflict issues
  • Draft and review ethical screens, conflict waivers and risk management engagement letter provisions
  • Assist with administering the Firm’s client engagement terms program including review and coding of outside counsel guidelines
  • Conduct research projects as assigned relating to conflicts of interest issues
  • Conduct advanced level research projects on corporate affiliations and corporate relatedness
  • All other duties as assigned or required

Skills and experience:

Required

  • After orientation at Cooley LLP, exhibit proficiency in the Microsoft Office suite, iManage and other firm applications
  • Ability to travel, as required
  • Ability to work extended and/or weekend hours, as required
  • 3+ years of conflicts resolution experience or 5+ years as a practicing attorney, preferably with a large law firm
  • JD degree
  • Active member in good standing or registered in-house counsel of the bar(s) in all jurisdictions from which you regularly work, as well as the jurisdiction in which your assigned office is located, if applicable

Preferred

  • Legal ethics and conflicts experience

The expected annual pay range for this position with a full-time schedule is $145,000 - $210,000. Please note that final offer amount will be dependent on geographic location, applicable experience and skillset of the candidate.
