Compliance Manager, Stony Brook Foundation

Required Qualifications (as evidenced by an attached resume):

Bachelor's degree (foreign equivalent or higher). Three (3) years of full-time experience working in compliance, insurance and risk management, contract administration, legal or paralegal support, audit, or a related field. Experience supporting regulatory filings, insurance renewals, and/or contract review.

Preferred Qualifications:

Additional years of full-time experience working in compliance, insurance and risk management, contract administration, legal or paralegal support, audit, or a related field. Paralegal certificate or another legal/compliance credential. Experience working in a large nonprofit, foundation, government, municipal, or higher education environment. Experience with multi-state charitable solicitation registration and related filings.

Brief Description of Duties:

The Compliance Manager serves as a key resource for Stony Brook University and Stony Brook Foundation (SBF) stakeholders and provides day-to-day leadership for the Foundation's regulatory compliance, insurance and risk management, and contracting processes. Reporting to Stony Brook Foundation leadership, the Compliance Manager will be responsible for managing multi-state charitable registrations in partnership with outside legal counsel, leading the Foundation's annual insurance renewal and risk management strategy, overseeing contract development and tracking, and maintaining the policies, controls, and monitoring activities that keep the Foundation in good regulatory standing. They will partner closely with SBF leadership, the SBF business office, University Counsel, SBU IT, campus departments, and external partners including outside counsel and the Foundation's insurance broker to support Stony Brook University and Stony Brook Foundation goals. The position handles confidential and sensitive information, including investigative matters and legal correspondence, and is expected to always exercise discretion.

Insurance & Risk Management: Serve as the primary point of contact for the Foundation's insurance broker, negotiating premiums and policy terms and gathering the internal data needed for annual applications. Review and update core coverages, including Directors & Officers (D&O), Employment Practices Liability (EPLI), Cyber Liability, General Liability, and Professional Liability. Identify, assess, and mitigate organizational risk by reviewing operational processes and implementing internal controls.Contract Development & Tracking: Develop SBF standard templates and review specialized agreements and third-party documents to ensure required protections, such as indemnification clauses, are included. Reviews and manage contracts to ensure compliance with applicable regulations, including those governing the handling of Protected Health Information (PHI), such as Business Associate Agreements (BAAs). Coordinate review and feedback from internal and external parties, including University Counsel and Information Technology, and work with campus departments to keep contracts moving through processing. Build self-service contracting resources for the Foundation's website and maintain a contract tracker capturing auto-renewal clauses, expiration dates, and other key terms.Policy Development, Monitoring & Auditing:Create, implement, and continuously update Foundation policies and procedures to align with external regulatory requirements and internal standards. Conduct internal audits and monitor operational processes to ensure adherence to applicable laws and regulations. Stay informed about new legislation and regulatory changes within the nonprofit and higher education advancement sector to ensure the organization remains compliant.Charitable Registrations & Regulatory Filings: Work with the Foundation's outside legal firm to manage annual renewals for states requiring charitable solicitation registration, compiling data from the IRS Form 990, audited financial statements, and corporate bylaws to support filings. Monitor filing deadlines across all applicable states to prevent late fees, lapses, or other penalties, and maintain organized records of registration status, renewal dates, and filing history for each state.Investigation, Reporting & Liaison: Investigate reported compliance concerns and conduct related inquiries, then recommend and implement corrective actions. Serve as a point of contact between the Foundation and regulatory bodies and act as a liaison between departments and senior management regarding compliance matters, communicating findings, risks, and recommendations.Other duties as assigned.

Special Notes:

The Research Foundation of SUNY is a private educational corporation. Employment is subject to the Research Foundation policies and procedures, sponsor guidelines and the availability of funding. This is a full-time appointment. FLSA Exempt position, not eligible for the overtime provisions of the FLSA. Minimum salary threshold must be met to maintain FLSA exemption.
