About Your Company

Our client is a prominent player in the real estate industry, known for its commitment to excellence and innovation. They are currently seeking a Senior Company Secretary Officer/Manager to enhance their corporate governance and compliance functions. This role is essential in ensuring adherence to regulatory requirements and facilitating effective communication between the board and stakeholders.

Responsibilities

• Assist the company secretary in ensuring compliance with regulations applicable to listed companies.
  
• Support market value analysis and strategy development by continuously tracking and analyzing industry trends, competitor performance, and macroeconomic factors to assess their impact on company valuation.
  
• Manage investor relations, including company information disclosure, and establish and maintain strong relationships with institutional investors, analysts, and the media.
  
• Oversee market risk management and compliance processes.
• Ensure company compliance with Hong Kong laws and listing rules, including updates to company bylaws and submission of annual reports.
  
• Act as the primary contact between the company and regulatory authorities, addressing inquiries and communications while relaying relevant information internally.
  
• Assist board members in developing and executing corporate governance policies to ensure decisions align with best practices.
  
• Manage company documentation and records, including board and shareholder meeting minutes, ensuring security, confidentiality, and proper archiving.
  
• Organize and arrange board and shareholder meetings, including preparing agendas, sending notices, and recording minutes to ensure smooth proceedings and legal compliance.
  
• Maintain communication with shareholders, addressing their inquiries and concerns regarding company operations and decisions.
  
• Prepare and disclose important financial and non-financial information, including annual and interim reports, while maintaining good investor relations.
  
• Perform ad-hoc tasks assigned by Management or Chairman

Qualifications

• Bachelor's degree in Law, Business Administration, or a related field.
  
• At least 7-10 years of relevant compliance experience; experience with listed companies is a MUST.
  
• Candidates with Corporate Services / Agency background will be a PLUS
• Strong communication, coordination, and analytical skills.
  
• Good English communication skills and an international perspective.
  
• Professional qualifications such as HKICS membership, HKCGI or CPA are preferred.
• Familiarity with Hong Kong laws, regulations, and best practices in corporate governance.
  
• Proficient in office software and financial management tools.
  
• High level of responsibility and professionalism, with the ability to handle confidential information.
• Good English reading and writing skills, with the ability to communicate effectively with international investors and regulatory bodies.
• Candidates with less experience would also be considered for a Senior officer position, as there are 2 headcounts open.
