The Company Secretary will be responsible for managing company secretarial, corporate governance and statutory compliance matters for the Group’s Indian entities. The role ensures that Board, shareholder and statutory processes are handled accurately, timely and in compliance with applicable Indian laws, internal governance standards and Group requirements.
The role requires a qualified Company Secretary with strong technical knowledge, high attention to detail, sound judgement, reliable execution and the ability to work effectively with directors, local management, Finance, Human Resources, external advisers, regional Legal leadership and global HQ corporate team (based in the Netherlands).
Manage company secretarial compliance for the Indian entities, including compliance under the Companies Act 2013, applicable rules, Secretarial Standards and other relevant corporate governance requirements.
Ensure timely preparation, filing and maintenance of statutory forms, returns, registers, resolutions, minutes and records.
Monitor statutory deadlines and ensure all required filings and actions are completed accurately and on time.
Maintain a clear compliance calendar and provide regular visibility on upcoming deadlines, required actions and open items.
Coordinate Board, committee and shareholder meetings, including agenda preparation, meeting notices, supporting documents, attendance registers, resolutions, minutes and certified extracts.
Ensure minutes are prepared, circulated and finalised within applicable timelines and internal policy standards..
Support directors and management with clear guidance on company secretarial processes, governance requirements and required approvals.
Ensure smooth execution of resolutions, filings and follow-up actions after meetings.
Maintain complete, accurate and audit-ready corporate records for all relevant Indian entities.
Ensure proper organisation of ROC e-forms, RBI filings, statutory registers, secretarial documents, Board records and shareholder documentation.
Manage and maintain the SharePoint repository for company secretarial documents and document storage in Diligent Entities tool, ensuring records are structured, complete, accessible and up to date.
Identify missing documents or gaps in historical records and drive follow-up actions to close them.
Act as a reliable company secretarial point of contact for local management, Finance, Human Resources, Legal and other relevant functions.
Work closely with BU and Local Legal and E&C, local stakeholders and global HQ corporate team to ensure company secretarial matters are handled efficiently and in line with internal governance standards.
Support governance processes linked to director changes, approval of financial statements, dividend distributions, capital actions, shareholding matters, entity management, authorisations and related corporate actions.
Provide clear, concise and practical updates on status, risks, deadlines and required actions.
Coordinate with external company secretarial advisers and law firms where required.
Ensure external advice is properly scoped, costs are monitored and external support is used only where appropriate and value-adding.
Review adviser outputs critically and ensure internal stakeholders receive clear and practical guidance.
Identify opportunities to improve company secretarial processes, documentation flow, execution timelines and stakeholder coordination.
Communicate clearly and professionally, ensuring that complex governance or procedural matters are explained in a practical and business-oriented way.
