Company Secretary (Manufacturing Listed Company, India)

Experience: 15+ years
Designation: Company Secretary & Compliance Officer (KMP)
Reporting to: Managing Director & CFO
Location: Gurugram

The Company Secretary (CS) will act as a Key Managerial Personnel and Compliance Officer responsible for ensuring compliance with Companies Act, SEBI LODR, and sector-specific manufacturing regulations, while providing strategic governance advisory to the Board

Key Responsibilities

1. Corporate Governance & Board Advisory

  • Advise the Board on corporate governance, compliance risks, and regulatory developments
  • Manage Board, Audit Committee, NRC, CSR and other Committee meetings
  • Drive governance frameworks across multiple manufacturing units
  • Ensure implementation of Secretarial Standards and Board processes
  • Support Board in risk oversight

2. SEBI LODR & Listed Entity Compliance

  • Act as Compliance Officer under SEBI LODR
  • Ensure:
    • Timely stock exchange disclosures (financial & operational)
    • Compliance with related party transactions norms
    • Disclosure of material events (including plant shutdowns, accidents, expansions)
  • Manage investor communications and earnings disclosures
  • Handle insider trading compliance and structured digital database (SDD)

3. EHS, ESG & Sustainability Governance

  • Support governance and reporting on:
    • Environmental, Health & Safety (EHS) frameworks
    • ESG disclosures and sustainability reporting
  • Ensure accurate reporting of:
    • Safety incidents
    • Environmental compliance breaches (if any)
  • Work with internal teams on BRSR / ESG reporting (for listed entities)

4. Statutory & Secretarial Compliance

  • Ensure compliance with:
    • Companies Act, 2013
    • SEBI Regulations (LODR, PIT, ICDR)
    • FEMA, RBI norms (for import/export exposure)
  • Maintain statutory registers and filings with ROC/MCA
  • Manage secretarial audit, annual compliance certifications, and board disclosures

5. Capital Markets & Corporate Actions

  • Manage Dividend declarations, bonus/rights issue, ESOPs
  • Support M&A, JV, and restructuring transactions involving plants/business units
  • Liaise with merchant bankers, legal advisors, and regulators

6. Stakeholder & Regulatory Interface

  • Act as key liaison with SEBI, Stock Exchanges, ROC, MCA
  • Manage shareholder relations and grievance redressal
  • Support audit interactions (internal, statutory, secretarial)

Qualification & Experience

  • Member of ICSI (qualified CS)
  • 15+ years experience, preferably in:
    • Listed manufacturing companies or industrial groups
  • Strong exposure to:
    • SEBI LODR & Companies Act
    • Multi-location regulatory compliance
    • EHS / ESG frameworks (preferred)
