The roleis responsible forperforming company secretarial duties for subsidiaries across the Fidante business and other subsidiary entities of Challenger Limited, ensuring statutory records for multiple companies and trusts are accuratelymaintainedand compliant with legislative and regulatory requirements.
You will play a key role in the effective governance ofAFS‑licensedandAPRA Regulatedsubsidiary boards and committees, including end‑to‑end management of meetings such as scheduling, agenda development, board paperreviewand distribution. Working closely with the Head of Company Secretariat,and supported by a Board Coordinator,you will attend meetings to prepare high‑quality minutes and draft circular and written resolutions that accurately reflect board deliberations and decisions.
Your responsibilities will also extend to supporting compliance with ASX Listing Rules through other regulatory lodgements, as well asmaintainingregisters across trusts, powers of attorney, business namesand intellectual property that underpinFidante’sbusiness operations. There are ongoing opportunities to contribute to governance projects and process improvements that support this highly regulatedAPRA‑supervised,AFS‑licensedandASX‑listedfinancial services business.
About You:
We areseekinga detail-oriented and highly organised professional with experience in a similar Company Secretarial, Legal or Compliance roles. The ideal candidate will have knowledge of APRA-regulated and/or ASX-listed governance requirements, along with:
Strong understanding of the Corporations Act 2001(Cth) and company regulatory requirements.
Experience using Company Secretarial databases (e.g., Diligent Entities / Blueprint, CAS, GEMS) and electronic board paper systems (e.g., Diligent Boards,BoardVantage).
Excellent attention to detail, communication, and stakeholder management skills, particularly in drafting board minutes and regulatory filings.
Tertiaryqualificationin a relevant area(Business, Finance,Law)or Governance Institute of Australia(or overseas equivalent, qualifications) is highly regarded.
