About this Role,

Reporting to the Board Chair and working closely with the CEO and Executive, you will act as the organisation’s key governance adviser, supporting the Board,

Board Committees and LLEA to meet their governance, compliance and stewardship responsibilities.

This role is responsible for strengthening governance practices as Wellways continues to grow in scale and complexity.

Key Responsibilities:

  • Provide governance advice to the Board, Board Committees and LLEA
  • Attend governance meetings and ensure accurate recording of decisions
  • Review Board papers to ensure they are clear, high quality and decision ready
  • Coordinate Board and LLEA recruitment, induction and evaluations
  • Ensure compliance with ACNC, ASIC and other regulatory obligations
  • Coordinate the Annual General Meeting
  • Maintain governance policies including the Delegations Schedule
  • Oversee the organisational risk management framework
  • Maintain governance registers including conflict of interest, privacy and whistleblower. Lead Modern Slavery and ESG governance reporting
  • Work across the organisation to strengthen governance systems and processes

You will need:

  • Tertiary qualification in Law, Governance, Business, Commerce or a related discipline or equivalent senior experience in a Company Secretary or governance role
  • Demonstrated experience operating as a Company Secretary or senior governance adviser to a Board
  • Sound knowledge of governance and regulatory requirements relevant to not for profit organisations, including ACNC and ASIC obligations
  • Current valid Driver's Licence/100 Points ID
  • Right to Work within Australia, Police check, NDIS Worker Screening check and Working with Children check and Queensland Blue Card
  • NDIS Quality and Safeguards Module ‘Quality, Safety and You’ Certificate – free online course
  • LCS2 Clearance – Wellways will supply

Wellways Australia is a leading national mental health and disability support organisation with services in Queensland, ACT, NSW, Victoria and Tasmania.

We work with a diverse range of people, their families and carers to identify needs and goals to build good lives in the community This includes creating a home, getting a job and building meaningful relationships.

We also deliver services to people with multiple, complex needs and often do this in partnership with clinical services, health support agencies and government.

Our services are informed by current evidence on mental health, rehabilitation and community inclusion, together with an understanding of people’s lived experience – what works for them.

We are a registered NDIS service provider. Our knowledgeable staff have the right community connections. We offer: support co-ordination, group based activities, assistance to access community, skills development, assistance with household tasks and personal care, housing and tenancy, help with budgeting and travel training.

Many of our staff draw from their own experience of mental health issues to provide peer support in services, education courses, advocacy workshops and our advice and referral Helpline.
