Purpose of the Job
The Company Secretarial Paralegal is responsible for assisting all day to day activities connected with the corporate administration of HH Global’s legal entities world-wide. This role sits within the Legal Team, reporting into the Company Secretarial Solicitor in the UK.
Key Responsibilities
• Assist in day to day activities of the corporate administration of HH Global’s legal entities world- wide.
• Overall responsibility for corporate compliance on a global basis.
• Liaise with external providers for all of HH Global’s legal entities.
• Ensure timely preparation and filing of all required corporate resolutions and other corporate secretarial documents (supported by external providers around the world).
• Support required formal annual/quarterly board/shareholder meetings and filing of annual returns and accounts for all legal entities, as required by law (also supported by external providers).
• Support changes to legal entities, such as change of registered address, change of directors, registration of PoAs, etc.
• Effectively communicate with external corporate secretarial providers and internal stakeholders.
• Obtain digital signatures, wet signatures and notarised documents as necessary from authorised signatories.
• Draft resolutions, powers of attorney and other corporate administrative documentation as necessary (supported by external providers for non-UK entities).
• Keep a central record of all of HH Global’s legal entities and ensure corporate information is well organised and made available to business stakeholders in an efficient manner; maintaining and updating company entity management software.
• Develop new and more efficient workflows.
Knowledge, Skills + Experience
• LL.B or Qualified Lawyer (Newly qualified up to 2 years).
• Company Secretarial qualification.
• Excellent English communication skills; additional languages an advantage.
• Prior experience with international corporate administration or company secretarial management.
• Strong knowledge and understanding of company law and underlying principles.
• Internationally minded; able to apply corporate law principles across different jurisdictions.
• Experience in maintaining and updating company entity management software such as GEMS.
• PC literate, comfortable using Word, Excel and PowerPoint.
• Self-motivated, able to multitask, prioritise and work accurately.
• Meticulous attention to detail and passion for compliance work.
• Able to build strong working relationships with stakeholders at various levels.
• Professional, inspires confidence with people.
• Confident in verbal and written communication.
• Creative but practical approach to problem solving.
• Able to confidently influence individuals when required.
