We are excited to recruit a Company Secretarial Assistant to support the Corporate Secretariat team in delivering an exceptional standard of service to the Board of Directors and wider governance arrangements NESO.

The role sits within a small team comprising the Company Secretary and the Assistant Company Secretary, however you will also be required to work closely with our Board Directors, wider Executive team and a variety of colleagues across the organisation. As such, our ideal candidate will already have demonstrable experience working with Board members and/or senior colleagues, alongside strong communication skills, attention to detail and a proactive, positive approach. An understanding of core governance concepts and experience in organising Board-level meetings and events would be highly beneficial.

This is a hybrid working position, with 1-2 days in our Warwick office required each week. Occasional travel to London and to some of our regional sites across the UK will be required. You will also need to be able to support in-person Board/Committee meeting days and meeting pack circulation days with an early start and later finish, these currently taking place circa 8 times per year.

Key Accountabilities

This is a varied role, with key duties focusing on supporting the team in managing the Board and its Committees, which will include overseeing the logistical delivery of Board meetings and activities. This role is a key point of contact for the Chair and the Directors and is responsible for ensuring our they are well supported in their roles. As such, the successful candidate will require a professional approach, with understanding of the importance of discretion and our Directors’ competing priorities and time pressures. The ability to manage relationships effectively and communicate clearly is key. The role also includes providing ad-hoc company secretarial administrative support to contribute to the delivery of high-quality governance arrangements and statutory compliance across the Company.

  • Day-to-day company secretarial administrative support and assistance to the team to enable the highest quality of Board governance.

  • Supporting and providing assistance to the Chair of the Board and other Directors in relation to their role within NESO.

  • Organisation of Board and Committee meetings and activities, including the scheduling and logistical arrangements.

  • Management of the corporate Board and Committee meeting calendar, including diary coordination with Directors.

  • Administration and scheduling of the Chair’s and other Directors’ travel arrangements.

  • Supporting the Company Secretarial team in the preparation and circulation of Board and Board Committee papers via the Board portal.

  • Responsibility for the Company sealing process.

  • Maintenance of the NESO Employee Share declaration portal and internal and external webpages.

  • Supporting compliance with statutory requirements, including annual and event-driven Companies House filings.

  • Ad-hoc company secretarial administrative support, including supporting compliance with statutory registers, annual reports and accounts and ad hoc governance, compliance and corporate transaction projects.

  • Process invoices and expenses as required.

About You

  • Ideally, experience in in a company secretarial environment and a basic understanding of corporate governance and company law.

  • Professional, credible and experience in operating in a Board of Directors environment.

  • Ability to confidence to engage with and quickly build and maintain strong relationships with Board members, Executives and other colleagues.

  • Experience in organising Board/Committee level meetings.

  • Confident communicator with excellent written and verbal skills.

  • Proactive and self-motivated with strong management skills, being able to deliver multiple priorities under time pressure and to tight deadlines.

  • Strong experience in working within Office 365, and an interest in AI to drive efficiency.

  • Excellent work ethics and evidence of being a great team player.

  • Flexible ‘can-do’ attitude with a commitment to delivering excellent outcomes.

  • Ability to self-organise, work independently, plan and prioritise workload, show initiative, and problem solve in a timely manner.
