The Commercial Contracts Manager will in large part work with and support the North American sales organization. This individual contributor position will be responsible for managing, negotiating and otherwise facilitating sales agreements while ensuring that ZOLL is protected from unnecessary risk. Candidates for this position will have solid experience in the creation, negotiation, administration and monitoring of a variety of commercial agreements including Sales Agreements, Evaluation Agreements, Rental/Lease Agreements and RFP/RFI/Bid Terms and Conditions.
Essential Functions
Draft, review, and negotiate a variety of sales and related agreements including enterprise licensing agreements, subscription agreements, SaaS agreements, services agreements, business associate agreements, data protection addenda, partner agreements, and proposals, among others.
Coordinate and manage the entire negotiation process for sales agreements from beginning to end.
Identify issues that vary from corporate standards to ensure accuracy and compliance, recommend appropriate modifications, and engage and collaborate with internal stakeholders in the sales, finance, marketing, product, operations teams, and other internal teams as may be required.
Ensure that all negotiated agreements have been approved and comply with ZOLL policies and procedures.
Assist in the further development of a playbook which will advise available fallback positions to provide initial responses to customer redlines.
Train and provide guidance to business partners on your areas of responsibility.
Perform other related duties, tasks and responsibilities as required from time to time.
Required/Preferred Education and Experience
Bachelor's Degree preferred
JD preferred
5 + years of demonstrated experience working in a high-volume contract administration department reviewing, drafting and negotiating a variety commercial agreement required, preferably for medical devices
Experience working directly with sophisticated clients, meeting business deadlines, and prioritizing competing projects
Knowledge, Skills and Abilities
Strong understanding of all legal terms and contract formation is required, including a strong facility with indemnity, intellectual property, warranties, liability, termination, and remedy provisions.
Excellent negotiator with strong influencing skills that can plan, manage and conduct negotiations on a non-confrontational, constructive basis.
Demonstrated ability to communicate complex legal issues and solutions to clients clearly and succinctly and develop credibility at all levels of the business organization.
Excellent writing skills and ability to clearly, concisely and precisely communicate in plain English.
Excellent analytical skills and ability to pragmatically and creatively resolve key issues.
Exceptional attention to detail and focus on accuracy, consistency and completeness.
Highly proficient in Microsoft Office applications, Oracle ERP and Adobe Acrobat.
Experience with Salesforce.com, DocuSign, and Ariba or a similar contract management system is a plus.

The annual salary for this position is:
$86,000.00 to $100,000.00
