INTRO / JOB SUMMARY

The Client Legal Administrator is responsible for the effective administration and corporate governance support of client entities, ensuring compliance with applicable statutory and regulatory requirements. This role coordinates Board and shareholder meeting processes, maintains key corporate records, and supports implementation of Board decisions. You will act as a key liaison with directors, officers, shareholders, auditors, and external advisers to ensure timely, accurate, and compliant administration. KEY RESPONSIBILITIES

  • Ensure ongoing compliance with applicable corporate, statutory, and regulatory requirements, escalating risks or issues in a timely manner.
  • Plan, convene, coordinate, and attend Board meetings and (where applicable) committee meetings; draft and maintain minutes, resolutions, and action trackers.
  • Coordinate annual general meetings and shareholder actions, including notices, agendas, documentation packs, and follow-up actions.
  • Serve as a primary liaison for directors, officers, and shareholders, ensuring professional, timely communication and accurate recordkeeping.
  • Maintain statutory registers and key corporate documents, including constitutional documents, corporate records, and executed agreements.
  • Manage share capital administration, including allotments, issuance of share certificates (where applicable), and share transfers, ensuring appropriate approvals and filings.
  • Prepare, arrange execution of, and where required coordinate sealing/notarization of agreements, legal forms, and official documents.
  • Prepare and file statutory returns and other required forms with relevant authorities within required deadlines.
  • Coordinate with auditors, advisers, governmental bodies, and other third parties to support smooth day-to-day administration and governance needs.
  • Support operational administration tasks as required, including assisting with bank account opening and administration and preparing payment orders in line with internal controls.

REQUIRED QUALIFICATIONS

  • Proven experience in corporate administration, corporate secretarial, governance, legal entity management, or a related regulated/professional services environment.
  • Working knowledge of corporate compliance obligations, statutory filings, and maintaining corporate records and registers.
  • Experience preparing board documentation, drafting minutes and resolutions, and coordinating governance calendars and deliverables.
  • Strong attention to detail, document control discipline, and ability to manage multiple deadlines.
  • Strong written and verbal communication skills in English; ability to communicate effectively with senior stakeholders.
  • Proficiency in Microsoft Office (Word, Excel, Outlook) and comfort working with document management systems.

PREFERRED QUALIFICATIONS

  • Experience supporting entities in Greece and familiarity with Greek corporate governance and filing requirements.
  • Relevant professional certification or progress toward one (e.g., ICSA/CGI or comparable corporate governance qualification).
  • Experience with banking administration processes (account opening documentation, KYC packs, payment workflows).
  • Experience working in a client-facing services environment with service level expectations and defined deliverables.
