As a publicly listed entity, the company operates under strict corporate governance, capital market, regulatory, and disclosure requirements while maintaining strong cross-border relationships with international investment partners.
Job Role
The Legal Manager (Mandarin Speaker) is a senior legal position responsible for leading corporate legal compliance, capital market governance, contract management, dispute resolution, and regulatory affairs in Indonesia.
Reporting to the Head of Legal and working closely with the Board of Directors, this role will serve as a key legal bridge between the Indonesian entity, local regulators, and overseas Group/HQ stakeholders.
The position requires a senior legal professional with strong experience in publicly listed companies or corporate law firms, excellent knowledge of Indonesian corporate and capital market regulations, and fluent Mandarin, English, and Bahasa Indonesia capabilities.
Key Responsibilities
- Lead corporate legal and capital market compliance in accordance with Indonesian Company Law, capital market regulations, OJK requirements, and IDX rules.
- Manage mandatory public disclosures, periodic legal reporting, material transactions, and affiliated or conflict-of-interest transactions.
- Lead legal preparation and documentation for Annual and Extraordinary General Meetings of Shareholders (RUPS/GMS).
- Provide legal support for corporate actions, including share issuances, bond offerings, acquisitions, restructurings, and dividend distributions.
- Draft, review, and negotiate commercial, employment, procurement, vendor, corporate, and capital-market-related agreements in Indonesian, English, and Mandarin.
- Establish and maintain standardized legal templates, contract databases, corporate documentation, and contract compliance monitoring systems.
- Lead legal risk assessments and provide practical legal advice for business operations, investments, financing structures, and corporate transactions.
- Manage labor, commercial, and regulatory disputes, including negotiation, mediation, arbitration, and litigation, while coordinating with external legal counsel where required.
- Handle employment-related legal matters, including PKWT, PKWTT, termination, and Industrial Relations Disputes (PHI).
- Monitor regulatory developments relating to OJK, IDX, labor, foreign investment, trade, licensing, and other relevant areas and advise management on their operational impact.
- Provide legal opinions and regulatory updates to the Board of Directors, Head of Legal, and Corporate Secretary.
- Maintain professional relationships with OJK, IDX/BEI, KSEI, AHU/Kemenkumham, notaries, law firms, and other relevant institutions.
- Coordinate cross-border legal matters between the Indonesian entity and overseas Group/HQ legal teams.
Candidate Requirements
- Minimum Master’s Degree (S2) in Law from a reputable university.
- Minimum 10 years of progressive legal experience, preferably within a publicly listed company (PT Tbk) or a reputable corporate law firm handling capital market matters.
- Strong knowledge of Indonesian Company Law, Capital Market regulations, OJK and IDX regulations, including POJK 17 and POJK 42.
- Proven experience handling RUPS/GMS, public corporate actions, mandatory disclosures, and complex corporate or commercial transactions.
- Strong experience in commercial contract drafting, negotiation, contract governance, legal risk management, and corporate documentation.
- Experienced in handling industrial relations matters, including PKWT, PKWTT, termination, PHI disputes, and litigation management.
- Fluent in Mandarin, both written and spoken, with the ability to communicate directly with overseas HQ and handle cross-border legal documentation.
- Fluent in English and Bahasa Indonesia for professional, legal, contractual, and regulatory communication.
- Strong commercial acumen, analytical and problem-solving skills, executive communication abilities, and high integrity.
- Willing and able to work full-time on-site in North Jakarta.
