Job Description

Lead and oversee the Legal and Company Secretarial team, ensuring the effective delivery of legal advisory and corporate governance services across the Group.

Develop team capabilities while ensuring efficient and well-structured operations within the Legal and Company Secretarial function.

Provide strategic legal counsel on regulatory, compliance, and corporate matters impacting the Group’s operations and business activities.

Oversee the drafting, review, negotiation, and execution of contracts, agreements, and other legal documentation to safeguard the Group’s interests.

Identify, assess, and manage legal risks, and recommend appropriate mitigation strategies to minimize exposure.

Support the Group’s business decision-making by providing timely legal guidance to ensure commercial and legal interests are adequately protected.

Ensure compliance with applicable laws, regulatory requirements, corporate governance standards, and internal policies.

Monitor regulatory developments and advise management on their potential impact on the Group’s operations and compliance obligations.

Establish, implement, and maintain effective legal and compliance frameworks, policies, and procedures across the organization.

Manage and oversee legal disputes, litigation, and claims involving the Group, including coordinating closely with external legal counsel and solicitors.

Provide strategic advice on dispute resolution, negotiations, and settlement strategies where required.

Review legal and company secretarial documentation to identify potential risks, non-compliance issues, or regulatory breaches, and recommend appropriate corrective actions.

Ensure the timely execution and completion of corporate exercises and transactions.

Undertake any other duties and responsibilities as assigned by the Company from time to time.
