Job Description

The Chief Corporate Officer (CCO) is a senior leadership role responsible for leading the Group’s corporate, legal, governance, and transaction-related functions across Malaysia, Singapore, and Australia. The role plays a critical part in mergers & acquisitions, investments, capital raising, corporate governance, and group-level legal and secretarial matters, working closely with the Group CEO, Board, shareholders, Country Leads, and external advisors.
This position acts as a key strategic partner to the Group CEO, supporting growth through acquisitions, investments, and expansion into new markets while ensuring strong governance, regulatory compliance, and execution discipline.

Key Responsibilities

  • Mergers & Acquisitions & Investments

  • Lead the Group’s M&A and investment activities for Malaysia and Singapore, with review and oversight responsibility for transactions in Australia.

  • Work closely with vendors, brokers, shareholders, Country CEOs, and internal stakeholders to originate, evaluate, and execute transactions.

  • Oversee valuation, deal structuring, financial forecasts, and negotiations for acquisitions and investments.

  • Lead and coordinate due diligence across finance, legal, HR, operations, IT, and medical governance, working with internal teams and external accounting and legal advisors.

  • Prepare and review transaction documentation including sale of business agreements, share sale agreements, shareholders’ agreements, tenancies, and doctors’ contracts.

  • Coordinate Investment Committee (IC) processes, including preparation of IC papers and presentations for internal and Board-level approvals.

  • Approve funds drawdown and deployment following IC and Board approvals.

  • Monitor post-acquisition performance and work with Country CEOs and finance leaders on performance improvement initiatives.

  • Review financial models for investments, new markets, and ACC setups, and support expansion into new geographies including regulatory approvals, entity setup, and banking arrangements.

  • Capital Raising, Shareholder Investments & Divestments

  • Play an active role in capital raising, shareholder investments, and divestment exercises once transactions are confirmed.

  • Oversee data room preparation and documentation for investors, bankers, and regulators.

  • Review and contribute to information memoranda and prospectuses.

  • Coordinate and respond to due diligence queries from banks, regulators, and potential investors.

  • Participate in investor and stakeholder meetings alongside the CEO and CFO.

  • Manage transaction execution, working closely with legal counsel, company secretaries, and regulators through to completion.

  • Legal, Corporate & Secretarial Matters

  • Oversee the Group’s legal and company secretarial functions, covering Malaysia and Singapore, with escalation oversight for Australia on group-impacting matters.

  • Manage day-to-day legal matters including M&A documentation, contracts, tenancies, business collaborations, doctors’ contracts, and ad hoc legal issues.

  • Liaise with external legal counsel and the Group’s company secretarial firms on board resolutions, regulatory filings, and statutory compliance.

  • Support country teams on legal matters including business agreements, patient complaints, and medical malpractice issues.

  • Act as a key liaison with shareholders on ad hoc corporate information and analysis requests.

  • Governance & Board Matters

  • Serve as Director on the holding company and/or selected subsidiaries, as required.

  • Oversee board and shareholder governance processes including board meetings, board papers, minutes, and resolutions.

  • Review and approve board papers prior to circulation.

  • Attend Group EXCO meetings, Board-related discussions, shareholder briefings, and selected subsidiary meetings.

  • Act as authorised signatory for Group bank accounts in Malaysia and Singapore, including facilities and sukuk-related matters.

  • Approve HQ payroll and selected corporate expenditures.

  • Ad Hoc Projects

  • Lead or support internal corporate projects at country and group level.

  • Work with external corporate communications agencies on HQ-level communications, websites, and social media initiatives.

  • Oversee annual insurance renewals for Malaysia and Singapore.


Requirements


Experience & Background

  • Senior leadership experience in corporate development, M&A, investments, legal, or corporate strategy roles.

  • Strong hands-on experience leading M&A transactions, due diligence, and deal execution.

  • Solid understanding of corporate governance, board processes, and regulatory environments in Malaysia and Singapore (Australia exposure an advantage).

  • Experience working with boards, shareholders, investment committees, and external advisors.

  • Background in healthcare, services, or regulated industries is an advantage.
