CAS is currently seeking a Corporate Counsel. This position will be located in our headquarters in Columbus, Ohio.

Job Summary

CAS is seeking a business-minded Corporate Counsel to serve as a trusted legal advisor and strategic partner across the organization. We are looking for a practical, solutions-oriented attorney with experience supporting commercial and technology-related matters, including commercial contracts, technology transactions, SaaS, data licensing, intellectual property, and emerging technologies.

As Corporate Counsel, you will collaborate with leadership and cross-functional teams to negotiate sophisticated commercial agreements, support strategic initiatives and emerging technology programs, advise on AI and other technology-related legal matters, and help drive business growth while appropriately balancing legal and commercial risk. You will partner with stakeholders across the organization to deliver practical, solution-oriented legal counsel that enables innovation while protecting CAS interests.

This role offers the opportunity to work at the intersection of technology, artificial intelligence, intellectual property, scientific innovation, and commerce, helping shape initiatives that advance scientific information and technology.

Job Accountabilities

  • Draft, negotiate, and advise on commercial and technology agreements, including SaaS, software and data licensing, intellectual property, procurement, and strategic partnerships.
  • Advise on legal, commercial, and operational risks involving artificial intelligence and emerging technologies, including generative AI, APIs, Agent-to-Agent (A2A) systems, and Model Context Protocol (MCP) integrations.
  • Provide practical legal guidance to teams across Technology, Product Development, Content Operations, Sales, Marketing, and other business functions.
  • Support a sales organization serving customers throughout the Americas, EMEA, and APAC.
  • Partner with business leaders to structure transactions, manage risk, and advance strategic initiatives and emerging technology programs.
  • Independently manage complex commercial and technology matters from negotiation through execution and ongoing legal support.

Qualifications

  • D. from an accredited law school.
  • Active license and good standing in at least one U.S. jurisdiction.
  • At least 5 years of relevant legal experience in a law firm, corporate legal department, or a combination of both.
  • Significant experience drafting, reviewing, and negotiating complex commercial agreements.
  • Experience with commercial transactions, technology agreements, SaaS, software, cloud services, intellectual property, or data licensing.
  • Strong business judgment and a practical, solution-oriented approach.
  • Excellent communication, negotiation, and stakeholder-management skills.
  • Ability to work independently while building strong partnerships across the organization.

Preferred Qualifications

  • In-house counsel experience.
  • Technology, SaaS, software, cloud services, data, or intellectual property transactions.
  • Artificial intelligence, generative AI, data governance, cybersecurity, or emerging technology matters.
  • International and cross-border commercial transactions.
  • Experience supporting a global sales organization.
  • Contract Lifecycle Management (CLM) systems.
